Privacy Policy
1. Introduction
Quotera LLC, a New Jersey limited liability company ("Quotera," "we," "us," or "our"), operates the Quotera software, the quotera.app website and the Quotera mobile app (the "Service"). This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use the Service. We are committed to protecting your privacy, and we work to protect your personal information.
2. Information We Collect
2.1 Information You Provide
We collect information that you provide, or that a business using Quotera enters, when using the Service:
- Account Information: your name, email address and password (stored only as a secure one-way hash), and your business's name, email address, phone number and address.
- Google Sign-In: If you choose Sign in with Google, Google sends us your name, email address and Google account ID. We use them to create your account, sign you in, and as your account's name and email address. We do not request access to your Gmail, contacts, files or any other Google data. We do not use information from Google for advertising or sell it, and we share it only as sections 4.1 and 4.2 describe. We keep the Google account ID until your account is erased (section 6). You can remove Quotera from your Google Account at myaccount.google.com/connections. This stops Google from signing you in to Quotera automatically, but it does not delete your Quotera account or the ID we hold. To have it deleted, delete your Quotera account.
- Team Information: email addresses of people a business invites, team roles, crews, and saved route start points.
- Customer Information: names, phone numbers, email addresses and addresses; company name and tax ID; tax-exemption certificate numbers; notes and labels; how the customer heard about the business; and vehicles (VIN, license plate, mileage, tire DOT numbers) or properties and equipment, entered by business owners or permitted employees.
- Service Information: work orders, jobs, appointments, estimates, invoices, inspections and their results, contracts, recurring jobs, service notes, expenses, parts and purchase orders.
- Business Profile: license numbers, about text and gallery photos a business adds, and its company vehicles, including purchase price and mileage.
- Photos, Videos and Files: photos and videos added to work orders and inspections, images in work order chat and texts, logos, contract PDFs, and the files and rows of any spreadsheet a business imports, which are kept with the import record. [We remove location (GPS) and camera details from images when we store them. Images stored before [release date], other than work order and inspection photos, may still include them.] Videos and PDFs are stored as uploaded and may include such details.
- Signatures and Approvals: for estimates, the drawn signature, typed name, optional email, time, and which jobs were approved or declined; for approvals taken by phone or in person, the approver's name and phone number and a staff note; for contracts, the drawn signature, name, email, time, IP address and browser. Team members may also save their own signature.
- Payment Information: for payments a business records or takes, the amount, date, method, refunds and Stripe reference numbers. Card payments are processed by Stripe, and we never receive or store full card numbers. Stripe also processes Quotera's own Subscription payments.
- Communications: text messages and emails sent and received through Quotera, including messages customers send to a business (texts through Telnyx, email through Amazon Web Services), and the delivery status of each message.
- Texting Consent: whether each phone number agreed to texts from a business, when and how, the exact words shown or sent, [and, for agreement given on a web page, the IP address and browser used], and any STOP or opt-out request.
- Texting Registration: a business's legal and trade name, address, website, contact person (name, title, email, phone) and EIN, sent to The Campaign Registry to register its texting; the business's number is then set up through Telnyx. We store the EIN encrypted.
- Booking Requests: what people enter on a business's booking page: name, phone, email, address if the business asks for it, vehicle or property, the time slot they pick, the service and notes, how they heard about the business, and their texting choice.
- Link Views: when someone opens an estimate, invoice, inspection or contract link, the time it was first opened, and for texted links and review links, the number and time of clicks. We do not save the IP address or device with the view itself. Like every request, opening a link is written to our server logs with the IP address (see Server Logs in section 6).
- Work Order Chat: messages, mentions and images team members post in a work order's chat, and who has read them.
- Time Tracking: where a business uses it, team members' clock-in and clock-out times, breaks, shift notes, time spent on jobs, and the history of corrections to these records. Quotera's pay features are turned off. Pay records a business entered while they were briefly available stay with that business.
- Reviews and Feedback: star ratings, comments and follow-up requests customers submit, and staff replies.
- Referrals: referral clicks, the referred email address and signup, and referral credits.
- CARFAX: for automotive businesses that enroll in CARFAX's Shop Loyalty Program, the business and technical contacts given, who enrolled and when, the CARFAX terms version accepted, and the IP address and browser used; and which customer email addresses, mobile numbers (sent before [release date] only) and VINs were sent to CARFAX. [For businesses that turn on CARFAX, the contact given and the record of that choice.]
- Connected Service Logins: If a business connects a parts supplier account, the username and password it gives us, stored encrypted and used only to connect that account.
- Demo, Contact and Checkup Requests: the name, email, phone, business name and size, website and message you give when you open the interactive demo, ask for a demo, ask for a checkup or contact us, and the IP address the form was sent from; for the interactive demo, the time spent in it. We use these to follow up with you about Quotera.
- Quotera's Own Service Agreements: if a business signs an agreement with Quotera for website or other services, the signer's name, email, signature, the time, and the IP address and browser used to sign.
- Support Requests: support tickets and their messages.
- Records of Agreement and Activity: Terms acceptances, deletion requests and actions taken in a business, recorded with the IP address and device used.
2.2 Information Collected Automatically
- Usage Data: on our public website and our sign-in, sign-up and onboarding pages, the pages visited and interactions (section 2.3). Inside the app, actions taken in a business are recorded in its activity log (section 6).
- Device Information: browser type, operating system, IP address, and device identifiers.
- Location: We do not collect your device's GPS location. On our public website and sign-in pages, PostHog may estimate a general location, such as city or region, from your IP address. Addresses entered in Quotera are converted to map coordinates by the US Census Bureau geocoder, for maps and route planning.
- Error Reports: technical details of errors, sent to Sentry.
- Browser Storage and Cookies: see section 2.3.
2.3 Cookies and Browser Storage
Quotera itself does not set cookies. Our website keeps your sign-in session, the business you last used, and settings such as dark mode and list filters in your browser's local storage and session storage. Signing out removes the sign-in session.
Other companies may set cookies or similar storage on our pages:
- PostHog (ph_* cookie and local storage) for product analytics and session recordings, with typed input masked, only on our public website and our sign-in, sign-up and onboarding pages, never inside the app after sign-in and never on pages a business sends its customers. When you sign in or sign up, PostHog links that activity to your account ID.
- Cloudflare, for security and bot checks. Cloudflare Web Analytics counts page visits on all our pages, including links a business sends you, without cookies.
- Stripe and Google, when you pay through Stripe or use Sign in with Google.
[We do not use advertising cookies, and we do not sell or share personal information for cross-context behavioral advertising.]
Do Not Track: Our platform does not currently respond to "Do Not Track" browser signals. You can manage cookies and site storage through your browser settings; clearing site storage signs you out.
2.4 Quotera Mobile App
When you use the Quotera mobile app, we also collect or send the following:
- Push Notifications: If you allow notifications, the app gets a notification token for your device from Expo, which delivers notifications through Apple or Google. We store the token with your account and use it only to send you notifications about your account; Expo, Apple and Google receive the token and the notification text to deliver them. When you sign out, the app asks our servers to remove the token. If that request fails, because you are offline or for another reason, the token stays linked to your account until our servers find it is no longer valid. Deleting your account removes the tokens for all your devices right away. You can turn notifications off at any time in your device's settings.
- Crash and Performance Data: The app and our servers report errors and performance problems to our error monitoring provider. These reports are tied to your business account and, for server errors, your user ID. They are set up to leave out your password and the contents of your requests.
- Camera and Photo Library: Used only when you scan a VIN or license plate, add photos or videos to a work order or inspection, attach a picture to a text message, or upload your business logo. Scanned images are read on the device and are not uploaded. A VIN or license plate that is read may be sent to our servers and to vehicle data providers to identify the vehicle. Videos include sound. Photos and videos are stored with the work order.
- Parts and Material Orders: When your business orders parts or materials through a connected supplier, the order details and your business identity are sent to that supplier.
- App Lock: If you turn on Face ID or fingerprint unlock, your device performs the check. Quotera never receives or stores biometric data.
- App Updates: The app may download updates when it starts. This sends Expo the app version, the device platform and a random ID for this installation.
- On Your Device: The app keeps your sign-in session and a limited amount of your business data on the device so it can work offline and sync later. Signing out or deleting your account removes that data and the sign-in session. The app keeps your display preferences and the email address you last signed in with.
2.5 Where We Get Information
We get information from you; from the business you work for or are a customer of, which enters it in Quotera; from your device and browser when you use the Service; from Google, if you use Sign in with Google; from Stripe, about payments and the status of a business's Stripe account; from Telnyx and The Campaign Registry, about message delivery and texting registration; from CARFAX, NHTSA and Nexpart, about vehicles, parts and orders a business looks up; and from people who are referred to Quotera.
3. How We Use Your Information
We use the collected information for the following purposes:
- Service Delivery: Provide, maintain, and improve the Service
- Communications: Send appointment confirmations, service reminders, work order updates, and completion notifications via text and email, on a business's behalf
- Marketing Campaign Automation: Only for customers who replied YES to a business's text asking whether they want promotional texts, deliver automated post-service follow-ups, re-engagement campaigns, declined-service reminders, unpaid-invoice follow-ups, and other promotional texts on the business's behalf through the Marketing Center
- Customer Support: Respond to inquiries, resolve issues, and provide technical support
- Account Management: Create and manage accounts, process payments, and maintain Subscription status
- Analytics: Analyze how our public website and sign-in, sign-up and onboarding pages are used, and use error reports, to improve features, fix bugs, and optimize performance
- Legal Compliance: Comply with legal obligations, enforce our terms, and protect our rights
- Security: Detect, prevent, and address fraud, security issues, and technical problems
4. Who We Share Information With
We do not sell personal information, and we do not share it for cross-context behavioral advertising. [We do not use advertising cookies.] We share information only as described below.
4.1 Service Providers
These companies help us run Quotera. Each one receives information to do its job for us. Our agreements with them, whether signed or the provider's published terms we accept by using its service, let them use it only to provide their services to us, and require them to protect it.
- Payments: Stripe processes Quotera Subscription payments.
- Hosting, database, file storage, website delivery and bot protection: Railway, Vercel, Neon, Amazon Web Services and Cloudflare.
- Email and texts: Amazon Web Services sends and receives email through Quotera, and Telnyx sends and receives texts.
- Error monitoring and analytics: Sentry receives error and crash reports from our website, servers and app. PostHog receives product analytics from our public website and our sign-in, sign-up and onboarding pages only. When you sign in or sign up, PostHog links that activity to your account ID.
- App notifications and updates: Expo delivers app notifications and app updates.
- Our own email: Google Workspace holds email you send to us.
The current list of service providers that handle information businesses keep in Quotera is in our Terms of Service, Section 23 (Data Processing Terms), Annex 1. Questions: legal@quotera.app.
4.2 Other Companies, Under Their Own Terms
These companies receive information to do something you or a business asks for. They use it under their own terms and privacy policies.
- Google, if you choose Sign in with Google.
- Stripe, when a business turns on card payments. Stripe verifies the business and its owners and processes its customers' payments. When a customer pays through a business's Quotera payment link or document, we send Stripe the amount, the work order number, the customer's email address on file, and Quotera reference numbers for the business, work order and link. Stripe collects the card details and processes the payment for the business. Quotera does not see or store full card details. See stripe.com/privacy.
- Apple and Google, which deliver app notifications to your device.
- The Campaign Registry and mobile carriers, which receive a business's details, including its tax ID and a business contact's phone and email, to register its texting. Customers' numbers and messages are not part of this.
- Integrations a business turns on. If an automotive business turns on CARFAX, we send CARFAX what section 4.5 describes. If a business connects its own Nexpart account, its parts searches and orders go to Nexpart and to the parts sellers it orders from. We send this at the business's direction and are not paid for it.
- Public data services. The NHTSA vehicle database receives a VIN. The US Census Bureau geocoder receives a street address. OpenStreetMap supplies map images for the area shown on the route planner. [api.qrserver.com receives a business's booking page link to draw its QR code [on our website and] in the mobile app]. They receive only what is looked up, plus the network address any website sees.
- Referral Program: If you sign up for Quotera through another Quotera shop's referral link, that shop's team can see your business name, when you signed up, whether and when you made your first Quotera payment, when its referral reward is due, which can show whether you pay monthly or yearly, whether you missed the deadline for a first payment, and the status of its reward. We share nothing else about your account with the referring shop.
4.3 Legal Requirements
We may disclose information if required by law, court order, or government request, or if necessary to protect our rights, property, or safety, or that of our users or the public. Additionally, we reserve the right to proactively report suspected illegal activity to appropriate authorities without being legally compelled to do so, if we believe in good faith that such disclosure is necessary to prevent harm or illegal conduct.
You acknowledge and agree that you release Quotera LLC from any claims, damages, or liability arising from our disclosure of information in response to legal processes, law enforcement requests, or our good-faith reporting of suspected illegal activity. We may, but are not obligated to, notify you if your information is subject to a legal request, unless prohibited by law or court order.
4.4 Business Transfers
If Quotera is involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. If that happens, we will require the buyer to protect your information as this Privacy Policy describes, or we will notify you.
4.5 CARFAX
[Service records. When an automotive business turns on CARFAX in Settings, we send CARFAX the business's name, address, phone number, booking page link, a contact name and email address, and a location ID. We then send completed jobs on vehicles with a valid VIN: all past completed jobs on the first nightly upload, then new ones each night, and again if a sent job is edited. We send the VIN, make, model, year, plate and plate state, mileage, open and completed dates, work order number, job, labor and part descriptions with part quantities, and the business's location ID, name, address, phone number and booking page link. We do not send customer names, contact details, prices or notes. Descriptions are sent as the business wrote them, and declined jobs are not sent. CARFAX may show these records in its vehicle history reports and service history results. Turning CARFAX off stops the sharing and the lookups. While the business is not paying, no records are sent and lookups stop; both resume automatically when it pays again, and jobs completed in between are sent in the next upload. Records already sent stay with CARFAX. CARFAX uses these records under its own terms and privacy policy.
Shop Loyalty Program. If a business with CARFAX on also enrolls in CARFAX's Shop Loyalty Program, which has its own switch, we send CARFAX, for each customer with a completed job on a vehicle with a valid VIN: first and last name, email address, ZIP code, VIN and service date, plus the business's location ID and Quotera's provider ID. The first list covers the past 24 months. No mobile numbers are sent. We include only customers with an email address who have not unsubscribed from the business's marketing email and whose email has not bounced. If you later unsubscribe from the business's marketing email, or your email bounces, your email address is sent to CARFAX once more marked "No", so CARFAX stops using it, and you are left off future lists. [Mobile numbers sent to CARFAX before [release date] are each sent once more, marked "No".] While the business is not paying, no customer records are sent, but these opt-out notices still are, even if the business turns CARFAX or the Shop Loyalty Program off. CARFAX uses the list to send cobranded service reminder emails and CARFAX Report offers on the business's behalf, under its own terms and privacy policy. Deleting your record at a business does not remove what was already sent to CARFAX. To stop these emails, use the unsubscribe link in any CARFAX reminder email, or ask the business that services your vehicle.]
5. Data Security
We use administrative, technical and physical safeguards designed to protect your information:
- Encryption: Information is encrypted in transit (HTTPS). Our database and file storage providers encrypt stored data. We also encrypt saved supplier usernames and passwords and the tax ID a business gives us to register for texting. Account passwords are stored only as one-way hashes.
- Separation and access: Each business's data is separated in our database, and team members are given access based on their role.
- Payments: Card payments are processed by Stripe. We never receive or store full card numbers.
- Files: Some files, such as signatures, logos, receipts and images in messages, are stored at long, unlisted web addresses. Anyone with the address can open the file until it is deleted.
- Providers: We use established infrastructure providers (listed in section 4.1), which maintain their own security programs and certifications. Quotera itself does not currently hold a security certification.
- Incidents: If we learn of a security incident that affects your personal information, we will notify you as required by law, and notify businesses as Terms Section 23(i) describes.
- Reporting: Report security concerns to [security@quotera.app].
Important Disclaimer: Despite our security measures, no method of transmission over the internet or electronic storage is completely secure. We cannot and do not guarantee that your information will be immune from unauthorized access, disclosure, alteration, or destruction. The internet is inherently an open and insecure medium, and you transmit information at your own risk. We strongly recommend that you take your own precautions to protect your sensitive information, including using strong passwords and keeping your login credentials confidential.
5.1 External Links and Third-Party Websites
Our platform may contain links to external websites, resources, or services that are not operated by Quotera. These links are provided for your convenience and reference only. We have no control over the content, privacy practices, or security of third-party websites and are not responsible for their practices or policies.
When you leave our platform through an external link, you do so at your own risk. We encourage you to review the privacy policies and terms of service of any third-party website before providing personal information. Quotera expressly disclaims any liability for damages or losses arising from your use of or reliance on any external websites or resources.
6. Data Retention
We keep information for as long as it is needed to provide the Service and as described below, and longer where a law or a legal hold requires it.
- Active Accounts: Information is kept while your account is open, on any plan, including the Free plan.
- Records You Delete: [Work orders moved to the trash are permanently deleted after 7 days, except ones that were invoiced, paid or completed, or have a payment, a signature or approval, or clocked time; those stay in the trash until the business is deleted. Such a work order cannot be moved to the trash. On the Free plan the trash cannot be viewed or restored. Deleting a customer, vehicle or piece of equipment takes effect right away, with no trash, and also deletes what is attached to it: its work orders that are not sales records, appointments, recurring jobs, and texts, except records of automatic replies (such as the reply to a STOP or HELP text), which stay with the business until the business is deleted. A customer, vehicle or piece of equipment with an invoiced, paid or complete work order cannot be deleted. A signed contract cannot be deleted; it can be archived.] [Time entries, shifts and tire DOT records that are removed are kept, marked removed, with a history of who changed them, when and why, while the business exists. A job timer stopped within 36 seconds is discarded, and a copy is kept in that history.] [Each change to the charges on an invoiced, paid or complete work order is recorded in the business's activity log and kept while the business exists.] Texting consent and opt-out records are kept as described below even when the customer is deleted.
- Deleted Shops: When a shop is deleted, either from Settings, then General, or from My Shops, or because its only owner deleted their account, or because we terminated it under Section 11.3 of our Terms, it is closed right away. [For 90 days it cannot be used, its owners who can still sign in can download its records and photos (except a shop we terminated, see Terms Section 11.5(e)), and support can restore it. We email its Primary Owner (as defined in our Terms), or, if the Primary Owner's account is closed, its other owners who can still sign in, when it closes and 30 days, 7 days and 1 day before it is deleted. An owner who deletes their account can no longer download them. After 90 days,] all of its records (customers, vehicles, work orders, invoices, payments, photos, signatures, messages and files) are permanently deleted. Apart from the items below, Quotera does not keep a copy of a deleted shop's invoices or payments; your business may be required to keep its sales and tax records for several years, so download them. We keep only: a record of SMS consent for 5 years and of each opt-out for at least [10 years], because claims about text messages under the federal Telephone Consumer Protection Act can be brought for up to 4 years; [for 180 days after each card payment the shop took through Quotera, the details of that payment needed to answer a card dispute (the amount, date, invoice lines and totals, who approved it, and the customer name and contact details shown on the invoice)]; a record that the shop was deleted (see Deletion Records); [and anything under a legal hold, until the hold ends]. Backups: [BACKUP RETENTION]. Support tickets, referral records and agreements a business signed with Quotera are kept as described under Requests, Support and Our Own Records below. Billing records for Quotera Subscriptions are kept by our payment processor, Stripe, under Stripe's own rules. Copies our service providers made while delivering the service, such as text messages sent through Telnyx, and service records and customer lists sent to CARFAX at the business's direction, are kept under those providers' own retention rules. Card payments a business took through its own Stripe account stay with Stripe under that business's agreement with Stripe.
- Deleted Accounts: Sign-in is blocked right away, and your notification tokens, team memberships, crew assignments and chat participation are removed. After 30 days your name, email address, password, Google sign-in link, notifications and saved signature are permanently erased, and we ask our analytics provider to delete your analytics profile. [If you own, or still belong to the team of, a closed shop that has not yet been permanently deleted, whether it closed with your account or earlier, these are erased when that shop is deleted, 90 days after it closed. Until then you cannot sign in or download that shop's records, support can still restore your account on request, and your email address cannot be used to sign up again.] Some information is kept: (a) if a business has time records for you, your membership stays with that business as a closed account with your name, so it keeps its time history; (b) activity records of time entries and shifts that show your name are kept for up to one year; (c) documents you signed keep what is described under Signed Documents; (d) text you wrote in notes, work order chat and other records stays with the business as written, including any names in it, and the author shows as "Deleted user"; (e) Terms acceptance and deletion records, as described below. Records you created in a business that is still open stay with that business.
- Signed Documents: Estimate approvals keep the drawn signature, typed name, optional email and time recorded when the person approved. Contracts keep the drawn signature, name, email, time, IP address and browser recorded when the person signed.
- Deletion Records: We keep a record of each request to delete an account [or a shop] (the date, who asked, the account [and shop] it concerns, the IP address and device the request came from, [whether it came from the website, the app, our support team or a termination, and the billing customer number at our payment processor]), with no end date, to show we honored it.
- Terms Acceptance Records: We keep a record of each acceptance of our Terms (the account that accepted, the business, the date, the Terms version, and the IP address and device used) to show the Terms were accepted. Like deletion records, these records are kept with no end date. When the business or the account is permanently deleted, the record's link to it is removed.
- Activity and Security Logs: Records of sign-ins and of actions taken in a business, with the IP address and device they came from, are kept for one year, except these, which are kept with no end date while the business exists because they are proof of something: failed sign-ins and security events; account deletion, restoration and erasure; deletions of work orders, customers and shops; payment voids, deletions, disputes, refunds, overpayments, duplicate charges and payout failures; plan, rate and trial changes we make; role changes we make; estimate signatures and recorded approvals and their resets; Stripe disconnections; pay plan and pay period changes; Terms acceptances; return-sheet prints; exports of consent records; [changes to the charges on invoiced, paid or complete work orders;] and texting consent changes made before [release date]. A purge removes them with the business's other records, except the deletion record itself. [A legal hold can require us to keep them longer.]
- SMS Consent Records: When someone agrees to receive text messages from a business on Quotera, replies to a text about it, or opts out, we keep a record of the phone number, the date and time, the exact words they were shown or sent, the page or text message used, [and, for a web page, the IP address and browser]. We keep these records while the consent lasts and for 5 years after it ends. We keep a request to stop texts for at least [10 years], even if the business deletes the customer or closes its Quotera account. Activity-log entries for consent changes made before [release date] are kept while the business exists; later entries are kept for one year, and the consent record above is the lasting proof.
- Requests, Support and Our Own Records: Demo, contact and checkup requests, support tickets, referral records and agreements a business signed with Quotera for website or other services are kept as Quotera's business records while they may be needed to follow up, support you, account for referral credits, meet the law or defend a claim, and are deleted when you ask us to, unless the law or a legal hold requires us to keep them. Analytics data at PostHog and error reports at Sentry are kept under those providers' retention settings.
- Server Logs: Our servers and our hosting and website-delivery providers (Railway, Vercel and Cloudflare) log each request, with the IP address, the browser, the page or address requested and the time, to run and protect the Service. We can view these logs for up to 30 days. After that, our hosting providers delete them under their own retention settings.
- Legal Requirements: Some information may be retained longer if required by law, [or under a legal hold we place when a law, court order, subpoena, government preservation request, or an audit, investigation or lawsuit we know of requires it]. A legal hold stops only our automatic deletions; it does not stop a business from changing or deleting its own records while its shop is open.
- Backups: [BACKUP RETENTION]
Retention at a glance
- Account and shop information: while open; an account is erased 30 days after deletion, and a closed shop is deleted [90 days] after it closes.
- SMS consent: 5 years after it ends. Opt-outs: at least [10 years].
- Activity logs: one year, except the proof records listed above.
- Server logs: up to 30 days.
- Deletion and Terms acceptance records: no end date.
- [Card-dispute details of a deleted shop: 180 days after each payment.]
- Backups: [BACKUP RETENTION].
- Anything under a legal hold: until the hold ends.
7. Your Rights and Choices
You have the following rights regarding your information:
- Access: Request a copy of your personal information by emailing legal@quotera.app
- Correction: Update your name, email, and password directly from Settings, then Account, or email legal@quotera.app for other corrections
- Deletion: Request deletion of your information (subject to legal retention requirements) by emailing support@quotera.app or legal@quotera.app
- Export: [Owners of a business can download its records at any time from Settings, then General, on every plan, including the Free plan; photos are a separate download.] Anyone else can request a portable copy of their own data by emailing legal@quotera.app
- Opt-Out: Unsubscribe from marketing email with the link in any marketing email. Customers of a business can stop all texts from that business by replying STOP
- Shop Deletion: Delete a shop at any time from Settings, then General, then Danger Zone (Primary Owner only). [Download the shop's records first. If you keep your account, you can also sign in and download them from My Shops for 90 days after the shop closes.]
- Account Deletion: Delete your account in the app from Settings, then Account Settings, or on the web from Settings, then Account, or email support@quotera.app. See quotera.app/delete-account for what is deleted and when. A deletion request by email must come from the email address on the account
- Customers of a Business: If a business that uses Quotera has your information because you are its customer, that business controls that information and decides what it keeps. Ask the business first. You can also email legal@quotera.app; we pass your request to the business and help it respond. We do not change or delete a business's records on our own in response to your request, except to stop text messages when you reply STOP or when the law requires it.
To exercise these rights, contact us at legal@quotera.app. We confirm we received your request within 10 business days and answer within 45 days. If we need more time, up to another 45 days, we tell you why before the first 45 days end. We confirm a request is yours by matching it to the email address we have on file, and we may ask for more information if we cannot. Someone you authorize can ask for you if you give them signed permission and confirm it with us. If we deny your request, we tell you why, and you can appeal by replying to our answer; we answer the appeal within 45 days. If we deny your appeal, you can contact your state attorney general. We do not sell or share personal information or use it for targeted advertising, so there is nothing to opt out of. This includes signals such as Global Privacy Control. If a business you are a customer of has enrolled in CARFAX's Shop Loyalty Program, that business, not Quotera, decided to send its customer list to CARFAX; use the unsubscribe link in any CARFAX email, or ask the business. Account deletion requests follow the timeline on quotera.app/delete-account.
8. California Privacy Rights (CCPA)
If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA):
- Right to Know: Request details about the personal information we collect, use, and share
- Right to Delete: Request deletion of your personal information
- Right to Correct: Request correction of inaccurate personal information
- Right to Opt-Out: We do not sell personal information or share it for cross-context behavioral advertising
- Right to Non-Discrimination: We will not discriminate against you for exercising your privacy rights
- Sensitive Information: We collect these kinds of sensitive personal information: account sign-in details (your email address and password; we store the password only as a one-way hash, and Sign in with Google uses no Quotera password); the username and password a business saves to connect its Nexpart account, stored encrypted; the contents of texts and emails between a business and its customers, and of work order chat; signatures on estimates and contracts; and the tax ID fields in a business's customer records and work orders, which can hold a Social Security number when the customer is a sole owner. We do not ask for driver's license or bank account numbers or full card numbers (Stripe collects payment and bank details directly), we do not collect your device's precise location, and we do not use location details stored in photo files. We use sensitive personal information only to provide and support the Service (including Quotera support staff reviewing account records when helping a business, and sending app notifications, such as a new email's subject, through our push notification provider), keep it secure, prevent fraud and comply with the law. We do not use it to infer characteristics about anyone, and we never sell it or use it for advertising. For that reason, the right to limit its use does not apply.
- Selling and Sharing: [In the last 12 months we have not sold personal information or shared it for cross-context behavioral advertising.]
- De-identified Data: When we use de-identified or aggregated data (Terms Section 7.3), we keep it in de-identified form and do not try to re-identify anyone.
To submit a CCPA request, email legal@quotera.app with "CCPA Request" in the subject line.
9. Children's Privacy
Quotera is a business-to-business service. Accounts are for business owners and staff who are 18 or older, and we do not knowingly create an account for anyone under 18. If we learn that we did, we will delete that account. We do not knowingly collect personal information from children under 16 for our own purposes, and we do not sell or share anyone's information. Information a business enters about its own customers is controlled by that business (section 7). Businesses may not enter information about children under 13 (Terms Section 5.1).
10. International Data Transfers
Quotera is based in the United States, and your information is stored mainly in the United States. Some providers, such as Cloudflare, deliver our website and files through servers around the world, so your information may pass through or be temporarily cached in other countries. If you use Quotera from outside the United States, your information is transferred to the United States.
11. Mobile Information Privacy
A business can text you about your service (appointments, estimates, invoices, payments, work updates) only after you agree to get texts from it. You agree by ticking the texting box on its booking, estimate or contract page, or by texting START or YES to its number. Just texting the business does not count. Agreement recorded before [release date] still counts. It can send promotional texts, including service-due reminders and offers, only if you also reply YES within 30 days to the text it sends asking. It asks only after you agree on one of its pages, and at most once every 90 days. Promotional agreement given any other way before [release date] does not count. Replying STOP (we also accept STOP ALL, STOPALL, UNSUBSCRIBE, UNSUB, CANCEL, END, QUIT, REVOKE, OPT OUT and OPTOUT, and in Spanish ALTO, PARAR, DETENER, CANCELAR and BAJA) stops all texts from that business to that number, apart from one reply confirming it. A reply like CANCEL that may be about an appointment is first checked by the business, and no texts are sent to that number while it is checked. Other businesses are not affected. Texting START or UNSTOP turns texts from that business back on. If you had agreed to promotional texts before you texted STOP, that choice comes back too. Otherwise, START does not turn on promotional texts, even if the automatic reply says you are opted in to them. Replying YES after STOP does not restart texts. The business uses your number to text you and keeps it in its customer records. Its texts come only from its own registered number. If the business does not take text replies through Quotera and you text it, you get an automatic reply saying so, at most once a day.
- No Selling: We will never sell your mobile phone number to third parties.
- No Sharing for Marketing: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging opt-in data and consent are not shared with any third parties, except the texting providers that deliver messages.
- CARFAX Opt-Out Notices: [Mobile numbers sent to CARFAX before [release date] are each sent once more, marked "No", only so CARFAX stops using them.] We no longer send mobile numbers to CARFAX.
- Texting Providers: Our texting provider Telnyx receives your number and the message to deliver texts and handle STOP replies. To register a business for texting, we send The Campaign Registry the business's details, including its tax ID and a business contact's phone and email. Customers' numbers and messages aren't part of that.
For details on how to opt out of SMS notifications, see the SMS Communications section below.
12. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. An updated policy takes effect when we post it on this page with a new "Last Updated" date, or on a later date that we state when we post it. For material changes, we will also email the Primary Owner of every shop, and we may notify users in the Service. Your continued use of Quotera after changes take effect constitutes acceptance of the updated policy.
Terms of Service
IMPORTANT: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER IN SECTION 16. UNLESS SECTION 16 ALLOWS OTHERWISE, YOU AND QUOTERA GIVE UP THE RIGHT TO SUE EACH OTHER IN COURT AND TO HAVE A JUDGE OR JURY DECIDE A DISPUTE, AND EACH MAY BRING CLAIMS ONLY FOR ITSELF, NOT AS PART OF A CLASS. PLEASE READ SECTION 16 CAREFULLY.
1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you, whether personally or on behalf of a business entity, and Quotera LLC, a New Jersey limited liability company ("Quotera," "we," "us," or "our") about your access to and use of the Service.
BY ACCESSING OR USING THE SERVICE, YOU REPRESENT THAT: (a) you have read and understand these Terms; (b) you agree to be bound by these Terms; (c) you are at least 18 years old; (d) you have the legal authority to enter into these Terms; and (e) you have read and understood our Privacy Policy. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
1.1 Words Used in These Terms
- "Service": the Quotera software, the quotera.app website and the Quotera mobile app, on any Plan, including the Free plan and a free trial.
- "you": the business that accepts these Terms, and the person who accepts them for it.
- "Account": one person's sign-in to the Service.
- "Shop": each business set up separately in the Service. Each Shop has its own Plan.
- "Owner": a User whose role in a Shop is Owner. "Primary Owner": the Owner shown as Primary Owner of a Shop in the Service. Only the Primary Owner can delete or transfer the Shop or remove another Owner. Any Owner can change or cancel its Plan as Sections 4.2 and 4.12 allow. Users whose role allows it can view billing and update the payment method.
- "Users": everyone who signs in to the Service for a Shop, including Owners and End Users (Section 3.5).
- "Plan": Free, Quotera One, Basic, Pro or Max, or a custom rate we agree with you. "Paid Plan": any Plan other than Free.
- "Subscription": a Shop's Paid Plan, billed monthly or yearly until it is cancelled. "Subscription Price": what we charge for a Subscription. "Subscription Charge": a Charge for a Subscription Price.
- "Organization Subscription": an Organization's recurring paid plan for the Organization features (Section 4.11(d)). An "Organization Subscription Charge" is a Charge for it.
- ["Free Shop": as defined in Section 4.11(b).]
- "Platform Fee": the per-payment fee in Section 4.10(c).
- "Charges": everything you pay Quotera under these Terms: Subscription Prices, Organization Subscription prices, Platform Fees, amounts under Section 4.10(e), and Taxes. Charges do not include amounts billed under a separate written agreement with Quotera, such as an agreement for website or search engine services; that agreement governs those amounts.
- "Your Customers": the people and businesses a Shop serves.
- "Taxes": the taxes and governmental charges described in Section 4.7.
- "Shop Data": as defined in Section 23(a).
On the Free plan you have no Subscription and pay no Subscription Price. The rest of these Terms still apply.
2. Description of Service
Quotera is cloud-based software, used on the web and in a mobile app, that helps businesses run their operations. Depending on the Plan and the type of business, the Service includes:
- Customer records, and vehicles, properties or equipment
- Work orders, jobs, estimates, invoices, inspections, photos, videos and signatures
- Online card payments through Stripe (Section 4.10)
- Appointments, calendar, online booking, recurring jobs, contracts and route planning
- Texting, email, marketing tools and review requests

- VIN decoding and CARFAX features for automotive shops (Section 10.5)
- Expenses, reports and downloads of your records
- Team members, roles and permissions, time tracking, crews and work order chat
- Organizations of several Shops (Section 4.11)
Which features a Shop has depends on its Plan and its type of business. This list describes the Service; it is not a promise that any feature will continue to be offered (Section 10.2).
Platform Non-Endorsement: Quotera does not endorse, recommend, or otherwise affiliate with any business using our platform. We are a software provider only and make no representations about the quality, reliability, or legality of services provided by businesses using Quotera.
3. User Accounts and Registration
3.1 Account Creation
To use the Service, you must create an Account by providing accurate and complete information. You may use the Service only for a business, and not for personal, family or household purposes. By creating an Account you confirm that you are using the Service for a business. You must be at least 18 years old and have the legal authority to bind your business to these Terms. We reserve the right to verify your credentials and to reject any user at our sole discretion.
3.2 Credential Ownership and Security
Login credentials (usernames, passwords, and access codes) provided to you are the property of Quotera. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your Account. You agree to: (a) implement and maintain systems to ensure credentials are distributed only to authorized personnel; (b) protect the confidentiality of credentials and information obtained through the Service; (c) use credentials only for their intended purposes; and (d) immediately notify us of any unauthorized use or security breach at [security@quotera.app].
3.3 No Automated Access
You will not allow access to the Service through automated or non-human means, including bots, scripts, crawlers, or other automated tools, unless expressly authorized by Quotera in writing.
3.4 Corporate Entity Authorization
If you are accepting these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the entity agrees to be bound by these Terms.
3.5 End User Liability
If you allow employees, contractors, or other individuals ("End Users") to use the Service under your Shop, you are fully responsible and liable for all acts and omissions of those End Users as if those acts and omissions were committed by you. You agree not to share Account credentials between End Users, and each End User must have their own Account. You are responsible for ensuring all End Users comply with these Terms.
3.6 Business License Warranty
If you operate a business through the Service, you represent and warrant that you hold all valid licenses, permits, and insurance required by applicable law to conduct your business in the jurisdictions where you operate.
3.7 Acceptance for the Business and Its Users
When an Owner accepts these Terms, or any later version of these Terms, whether by clicking to accept in the Service or by creating the Account, the acceptance is made for the business and for every person the business invites to use the Service for its Shop, including its employees, contractors, and other End Users. Each of those Users is bound by these Terms as accepted by the Owner, and by any later version that an Owner accepts, whether or not that User accepts it individually. The business is responsible for telling its Users about these Terms and about each later version. A User who does not agree to them must stop using the Service. Quotera may record each acceptance, including who accepted, the date, and the IP address and device used.
3.8 Disputes About a Shop
If people disagree about who controls a Shop or its data, we may rely on the Primary Owner shown in the Service, ask for documents, limit changes to the Shop until the disagreement is resolved, or follow a court order. We are not liable for any of these actions.
4. Plans, Subscriptions and Payment
4.1 Plans
Quotera offers these Plans. Prices are in US dollars, per Shop, before Taxes.
- Free: no Subscription Price. 10 work orders over the Shop's lifetime, 50 customers, 50 vehicles, equipment or properties, 1 User. No texting and no card payments. Up to 100 written emails to customers a month (emailed estimates and invoices don't count). See Section 4.8.
- Quotera One: $29 per month or $305 per year. For general-service businesses. Unlimited work orders, 1 User, no texting.
- Basic: $75 per month or $788 per year. Unlimited work orders, up to 5 Users, 50 texts per month.
- Pro: $129 per month or $1,355 per year. Unlimited work orders, unlimited Users, 200 texts per month.
- Max: $199 per month or $2,090 per year. Unlimited work orders, unlimited Users, no monthly text limit, and every feature of the other Plans.
The text allowance resets every month, on yearly Plans too. For a Shop billed through Stripe, it resets on the same day of the month as the Shop's billing date; for any other Shop, it resets at the start of each calendar month. A text that counts toward the allowance is not sent once the allowance is used up, and is never charged. Automatic replies to keywords, the automatic reply in Section 6, and texts asking a customer about promotional texts do not count toward the allowance. We may limit or delay texting on any Plan to follow carrier rules or protect message delivery. We may set reasonable limits on storage, uploads, messages and requests to protect the Service. Not every Plan is offered for every type of business. The full list of each Plan's features and limits is on our pricing page and in the Service; we may change it under Section 4.4.
Your purchase of a Subscription is not contingent on the delivery of any future functionality or features, nor dependent on any oral or written public comments made by us regarding future functionality or features.
New Accounts may start with a 14-day free trial of a Paid Plan (see Section 4.9).
4.2 Automatic Renewal and Cancellation
Subscriptions renew automatically. Unless you cancel a Subscription before the end of its current billing period, it renews for another period of the same length at the then-current Subscription Price.
You may cancel a Subscription at any time from Settings, then Billing. No advance notice is required. Cancellation stops future renewals; it does not end the period you have already paid for. The Shop keeps its Plan to the end of the paid period (the end of the month for monthly billing, or of the prepaid year for yearly billing). [Then, if the Shop is your Free Shop (Section 4.11(b)), it moves to the Free plan; any other Shop is paused under Section 4.11(b).] The Shop's data is kept either way. Amounts already paid, including prepaid yearly Subscription Prices, are not refunded in whole or in part when you cancel, except where the law requires a refund (Section 4.5).
4.3 Payment Authorization
By providing a payment method, you expressly authorize Quotera and our payment processor (Stripe) to charge your designated payment method for all Charges you owe, including Subscription Prices, Organization Subscription prices and applicable Taxes. This authorization remains in effect while you have an active Subscription or Organization Subscription and ends when it is cancelled, except as provided in Section 4.10(e). You can cancel at any time in the Service from Settings, then Billing (see Section 4.2); no written notice is required. If you need help cancelling, contact support@quotera.app. You authorize us to store your payment credentials and process recurring transactions.
4.4 Pricing Changes
We may change Subscription Prices, the Platform Fee, the Organization Subscription price and the rules that determine what you pay, at any time. A change takes effect when we publish it, or on a later date that we state when we publish it. We will notify you of the change by email to the Primary Owner of each affected Shop, and we may also notify you in the Service. An Owner may be required to accept the updated Terms in the Service before continuing to use it. A price change applies only to Charges made after it takes effect. An increase to a Subscription Price applies from the Subscription's first renewal after we notify you. Your continued use of the Service after a change takes effect, or an Owner's acceptance of the updated Terms, is acceptance of the change. If new taxes or fees are imposed by governmental authorities, we may pass those costs on to you even before a renewal period.
4.5 Refunds
Charges are not refunded, in whole or in part, including for part of a billing period, unused features, a downgrade, cancellation, or early termination, except where the law requires a refund.
Section 4.10(e) governs the Platform Fee on refunds you make to Your Customers.
4.6 Failed Payments and Paused Shops
[If a Subscription Charge fails, we email you, and Stripe retries the Charge automatically for up to 2 weeks. The Shop keeps its Plan for 7 days after the first failed Charge. If the Charge is still unpaid after those 7 days, your Free Shop moves to the Free plan and any other Shop is paused under Section 4.11(b), and we email you to say so and until when Stripe keeps trying. If a later retry succeeds, or you update your payment method and the Charge is paid, the Subscription continues and the Shop's Plan comes back automatically. A retry that succeeds charges the full billing period it covers, even if it succeeds late in that period. If every retry fails, the Subscription is cancelled. If your bank asks you to confirm a Charge, Stripe emails you a link to confirm it. You can start a new Subscription at any time from Settings, then Billing, at the Subscription Prices then in effect.]
A failed payment alone does not delete a Shop's data; a Shop is deleted only as Section 11.5 describes. It is your responsibility to keep your payment method valid, current, and funded. If you dispute a Charge with your bank or card issuer instead of contacting us first, we may treat the disputed amount as unpaid under this Section 4.6, and you will pay us any dispute fee our payment processor charges us, unless the dispute is decided in your favor. Quotera is not liable for any loss of functionality or business disruption resulting from a Plan change or pause caused by a failed payment.
4.7 Taxes
You are responsible for all applicable taxes, including sales tax, use tax, VAT, and any other governmental fees or charges related to your use of the Service ("Taxes"). If we do not collect applicable Taxes at the time of payment, you remain responsible for paying those Taxes directly to the appropriate tax authority. Quotera does not provide tax advice; consult your tax professional for guidance.
4.8 Free Plan
The Free plan has no Subscription Price and needs no credit card. Its limits are 10 work orders over the Shop's whole lifetime (including work orders created during a trial or on a Paid Plan, and work orders later archived or deleted), 50 customers, 50 vehicles, equipment or properties, and 1 User. It has no texting and no card payments. Emails you write to customers in the Service (individual emails and replies to email conversations) are limited to 100 per calendar month. Emailed estimates and invoices do not count toward this limit. When the limit is reached, those written emails cannot be sent until the next calendar month or until the Shop moves to a Paid Plan. On any plan, we may limit how many emails can be sent in a short period to protect email delivery for all Shops. On the Free plan you cannot view or restore the trash. A work order in the trash is permanently deleted after 7 days, unless it was invoiced, paid or completed, or has a payment[, a signature or approval, or clocked time]. Those stay in the trash and are deleted only with the Shop, or later under Section 11.5(g). Free plan limits apply to creating new records; existing records stay viewable and editable. The limits stay with the Shop if its owner changes. Each Primary Owner may keep only one Shop on the Free plan (Section 4.11(b)). You may move a Shop to a Paid Plan at any time.
4.9 Free Trials
Quotera may offer new Accounts a free trial of a Paid Plan. Where offered:
- A trial provides access to the features of a chosen Paid Plan for 14 days at no charge, except text messaging (SMS and MMS), SMS carrier registration, and the CARFAX Shop Loyalty Program, which require a paid Subscription.
- No payment method is collected for a trial, nothing is charged during or after a trial, and a trial never converts into a paid Subscription on its own. Sections 4.2 (Automatic Renewal) and 4.3 (Payment Authorization) apply only if you separately purchase a Subscription.
- If you buy a Subscription during a trial, you are charged when you buy, your trial ends once that payment succeeds, and your first billing period starts that day. Unused trial days are not added to your Subscription.
- When a trial ends without a purchase, the Shop continues on the Free plan (Section 4.8). Your data is kept and your Account is not locked. The Free plan's 10-work-order limit is a lifetime total that includes work orders created during your trial.
- Trials are limited to one per Account and are available only for the first Shop you own. We may decline a trial if we believe the business has already had one. Quotera may extend, shorten, decline, or end a trial at its discretion.
- The trial program is a temporary offering that may be modified or withdrawn at any time. Withdrawal of the program does not affect a trial already in progress.
4.10 Card Payments Through Stripe and Platform Fee
(a) Connected Account. If you enable online card payments for a Shop, Stripe creates a Stripe account for that Shop that is connected to Quotera (a "Connected Account"). Payment processing services for your Connected Account are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (collectively, the "Stripe Terms"). By enabling online card payments, you agree to be bound by the Stripe Terms, as Stripe may modify them from time to time. As a condition of Quotera enabling payment processing through Stripe, you agree to provide Quotera and Stripe accurate and complete information about you and your business, and you authorize Quotera to share that information, and transaction information related to your use of Stripe's payment processing services, with Stripe. Online card payments are available only on Plans, and during free trials, that include them, and only while your Connected Account is in good standing with Stripe. We may turn off card payments for a Shop at any time if Stripe requires it or we see a risk of fraud, disputes or loss.
(b) You Are the Merchant of Record. Each card payment that Your Customer makes through a payment link, Pay Now button, or document provided by the Service is charged directly on your Connected Account. You, not Quotera, are the seller and merchant of record for every such payment, and the payment is made to you for goods and services that you provide. Quotera is not a party to any transaction between you and Your Customer, does not hold your funds, and is not a bank, money transmitter, or payment processor.
(c) Platform Fee. For each card payment charged on your Connected Account through the Service, Quotera charges a platform fee equal to one percent (1%) of the amount charged, rounded to the nearest cent, plus twenty cents ($0.20) (the "Platform Fee"). The amount charged is the full amount Your Customer pays, including any taxes, fees, and card processing fee included in that payment. The Platform Fee applies on every Plan on which card payments are available, including during a free trial, and [to payments Your Customers make on invoices already sent by a paused Shop or by a Shop moved to the Free plan after its Subscription ended]. The Platform Fee is in addition to Stripe's own processing fees, which Stripe sets and charges to your Connected Account under the Stripe Terms; Stripe's standard rate for U.S. cards is currently 2.9% plus $0.30 per payment, and Stripe may charge more for some cards. The Platform Fee is deducted from each payment when it is charged, before the funds reach your Stripe balance, and you authorize Stripe to collect the Platform Fee from each payment and remit it to Quotera. The Platform Fee does not include Taxes (see Section 4.7).
(d) Payments Without a Platform Fee. No Platform Fee applies to a payment that is declined or not completed, or to a payment you record in the Service that is not charged on your Connected Account, such as cash, a check, or a card payment taken through another processor.
(e) Refunds, Disputes, and Chargebacks. You issue refunds through your Stripe account. You are solely responsible for refunds, disputes, chargebacks, reversals, and the related fees and losses on payments made to your Connected Account, as provided in the Stripe Terms. The Platform Fee is earned when the payment is charged. Except as required by law, the Platform Fee is not refunded, in whole or in part, when you refund a payment, when a payment is disputed or reversed, or when a chargeback is decided against you. If Stripe recovers from Quotera any amount that you owe on your Connected Account, including refunds, chargebacks, dispute fees, negative balances, fines, or assessments, you will reimburse Quotera for that amount on demand, and you authorize Quotera to charge it to the payment method on file for the Subscription of the Shop concerned or, if there is none, to any other payment method you have on file with us. This authorization continues after your Subscription ends for any amount that arose before it ended.
(f) Fees You Charge Your Customers. The Service lets you add a fee to a work order or invoice to recover card processing costs. Each new Shop has a fee preset labeled "Card Processing Fee," set to 3.9% plus $0.50, which reflects the cost of accepting a card payment through the Service, including Stripe's processing fees and the Platform Fee. The preset is turned off by default. You can turn it on in Settings, and you can add it to any work order. You decide whether, when, and how much to charge your customers. You are solely responsible for ensuring that any surcharge, convenience fee, or card processing fee you charge complies with applicable law and card network rules, including rules that cap the amount of a surcharge, prohibit surcharges on debit or prepaid cards, require disclosure to the customer before payment, or prohibit surcharges in certain states. The preset is provided for convenience only and is not legal advice or a representation that it complies with the law where you do business.
(g) Changes to the Platform Fee. We may change the Platform Fee under Section 4.4 (Pricing Changes). A change applies only to payments charged after it takes effect.
4.11 Multiple Shops and Organizations
(a) Shops. Each business you set up in the Service as a separate Shop has its own Plan and billing. A Shop you own is a Shop for which you are the Primary Owner.
(b) Your Free Shop; Other Shops Need a Subscription. [Each Primary Owner may keep one Shop on the Free plan (your "Free Shop"). Your Free Shop is the earliest-created Shop you own, fixed when you first own two or more Shops, unless you choose another Shop in Settings, then Billing; you may change that choice once every 30 days. Every other Shop you own needs a Subscription. A second or later Shop starts paused and opens once its first Subscription Charge is paid; a Shop we set up for you at a custom rate is the exception. If ownership of a Shop is transferred to you and the Shop has no Subscription in your name, you have 7 days to start one, after which the Shop is paused unless it is your Free Shop. A Shop that is not your Free Shop and has no paid Subscription is paused. In a paused Shop, its Users can sign in and view its data on the Quotera website and in the Quotera app. Its Owners can also download its records and manage its billing, and its Primary Owner can delete or transfer it. No one can create, change or send anything until a Subscription starts. Some app versions show a locked screen instead. Your Customers can still pay invoices already sent to them through their payment links. A paused Shop keeps all its data. Free plan limits, including 10 work orders over a Shop's lifetime, count the Shop's whole history and stay with the Shop if its owner changes.]
(c) Organizations. You may group two or more Shops in the Service into an organization (an "Organization"). An Organization lets its authorized Users view its member Shops together and move certain records, inventory, and settings between them. Each User may own one open Organization at a time. The User who owns an Organization (the "Organization Owner") manages its member Shops and its billing. A Shop owned by someone else joins an Organization only when an Owner of that Shop accepts an invitation. Each member Shop keeps its own Plan and remains subject to these Terms.
(d) Organization Subscription. The Organization features require a separate recurring Organization Subscription of ten dollars ($10) per month for each Organization. It is billed to the Organization Owner's payment method, separately from every Shop's Subscription, and Sections 4.2 through 4.5 and 4.7 apply to it. The Organization Subscription can begin only when at least two member Shops are on active Paid Plans. [If an Organization Subscription Charge fails, the Organization features and the Multi-Shop Discount continue for 7 days after the first failed Charge; after that they stop until the Charge is paid, the Multi-Shop Discount ends from each Shop's next invoice, and the member Shops keep running.] If fewer than two member Shops remain on active Paid Plans, we will cancel the Organization Subscription at the end of its current billing period, and we will reverse that cancellation if a second member Shop returns to an active Paid Plan before then. If the Organization is closed, the Organization Subscription does not renew and remains in effect through the end of the period already paid. The Organization Subscription is not prorated or refunded, except where the law requires a refund (Section 4.5). It does not include Taxes (Section 4.7).
(e) Transfer of an Organization. If the Organization Owner transfers the Organization to another User, the new Organization Owner becomes responsible for the Organization Subscription. Promptly after the transfer takes effect, Quotera removes the former Organization Owner's payment methods from the Organization's billing account, and the new Organization Owner must add a payment method for the Organization before the next Organization Subscription Charge is due. If no payment method is on file when that Charge is due, the payment is treated as failed and Section 4.11(d) applies. The Organization Subscription already paid for the current period is not refunded to the former Organization Owner (Section 4.5).
(f) Multi-Shop Discount. While an Organization's Organization Subscription is paid and active, if two or more eligible Shops that you own are members of that Organization, your eligible Shop on the highest Plan pays full price and each of your other eligible Shops in that Organization receives thirty-three percent (33%) off its Subscription Price (the "Multi-Shop Discount"). Plans rank Max, Pro, Basic, then Quotera One, whether billed monthly or yearly. If two or more of your eligible Shops share the highest Plan, the earliest-created of them pays full price. The Shop that pays full price is therefore not necessarily your Free Shop under Section 4.11(b). Shops owned by different Users are ranked separately and are never combined for the Multi-Shop Discount. Shops that are not in an active, paid Organization get no Multi-Shop Discount.
(g) Eligibility for the Multi-Shop Discount. A Shop is eligible only while its Subscription is active and paid. These Shops are not eligible and do not count toward the Multi-Shop Discount: a Shop on the Free plan; a Shop in a free trial; a paused Shop; a Shop whose Subscription Charge [has been unpaid for more than 7 days after it first failed]; a Shop billed at a custom or negotiated rate; a Shop that is not billed through Quotera's standard Subscription; a Shop for which no Owner has accepted an invitation to the Organization; and a Shop whose current Subscription was purchased by a previous owner and has not yet ended. If a Shop already carries another discount with no end date, that discount applies instead of the Multi-Shop Discount. The Referral Program terms govern how referral discounts interact with the Multi-Shop Discount.
(h) When the Multi-Shop Discount Changes. We apply, move, and remove the Multi-Shop Discount as eligibility changes, including when a Shop joins or leaves an Organization, changes Plans, or changes billing status, and when the Organization Subscription lapses or the Organization is closed. A change to the Multi-Shop Discount takes effect on the affected Shop's next Subscription invoice and does not prorate, credit, or refund any billing period already invoiced. For a Shop billed yearly, the change takes effect at its next yearly renewal.
(i) Changes. We may change the Organization Subscription price, the Multi-Shop Discount, or the rules in this Section 4.11 under Section 4.4 (Pricing Changes).
4.12 Plan Changes and Credits
[Upgrades take effect immediately, and we charge the prorated difference for the rest of the current billing period right away, based on the time left in that period. If that Charge fails, the Shop's Plan does not change. Downgrades take effect at the start of the Shop's next billing period; the Shop keeps its current Plan until then, and no credit or refund is given for the current period. Switching from monthly to yearly billing is charged immediately and starts a new yearly term that day; switching from yearly to monthly billing takes effect at renewal. A change that raises the Plan and moves from yearly to monthly billing at the same time is not available in one step. You cannot change a Shop's Plan while a Subscription Charge for it is unpaid or while its cancellation is pending.] Custom rates and Shops we bill manually change Plans through support. During a trial you can switch Plans in the Service. A credit on a Shop's billing account is used only for that Shop's future Charges, is never paid out in cash, and ends without refund if the Shop is deleted or its ownership changes.
4.13 Custom Rates
[If we agree a custom rate with you and its Subscription is cancelled: (a) if it was cancelled because every retry of a failed Charge failed, you may restore it at the same custom rate; (b) if you cancelled it, you may restore it at the same custom rate within 30 days after it ended, and after that only at the standard Subscription Prices unless we agree a new custom rate; (c) if we ended the custom rate, it cannot be restored.] Whether to offer or renew a custom rate is at our discretion.
4.14 Promotions
We may create, change, extend, limit, or end any promotion, discount, coupon, or promotional code at any time and at our sole discretion. A promotion has no cash value, cannot be combined with another promotion unless we say so, and applies only to the Charges and period stated when you redeem it. A change or end does not take away a discount already applied to a Charge.
5. Acceptable Use
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Infringe on intellectual property rights, privacy rights, or other proprietary rights
- Transmit malware, viruses, worms, or other harmful code
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service, servers, or networks
- Use the Service to send spam, unsolicited messages, or bulk communications
- Scrape, crawl, spider, or use automated tools to access the Service or extract data
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
- Resell, redistribute, sublicense, or share access to the Service without authorization
- Use the Service for any illegal, fraudulent, or harmful purpose
- Impersonate any person or entity or misrepresent your affiliation
- Harass, threaten, stalk, or harm other users
- Post false, misleading, defamatory, obscene, or offensive content
- Collect or harvest personal information about other users
- Circumvent any security features or access controls
5.1 Prohibited Data
You may not upload, import, or store the following types of sensitive information in the Service: Social Security Numbers (except as required for legitimate business purposes), complete credit card or financial account numbers (payment processing is handled by Stripe), protected health information (PHI) subject to HIPAA, information about children under 13 years of age, content that is defamatory, obscene, harassing, threatening, or otherwise offensive or unlawful, or other highly sensitive regulated information unless expressly authorized.
5.2 Our Right to Act
We may review, remove or disable any content, and block, hold or delay any text message or email, that we believe breaks these Terms, the law, carrier or industry rules, or a third party's rights, or puts the Service or others at risk. We are not required to monitor the Service, and we are not liable for acting or for not acting.
6. SMS and Communications Compliance
If you use the texting features of the Service, you acknowledge and agree that:
- You are solely responsible for ensuring that all text messages sent through the Service comply with applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state-specific regulations
- You will only send messages to recipients who have provided valid, documented consent. Apart from replies to a text the number sent (opt-out confirmations, HELP replies and the automatic reply described below), the Service sends a service text only to a phone number with recorded consent from that number [, checked on the number actually texted]
- You will send messages only for your own Shop's business, and not for anyone else. You will not send content about sex, hate, alcohol, firearms, tobacco, cannabis or other subjects that carriers or the CTIA do not allow, or any other content a carrier rejects
- When we ask, you will give us copies of the consent records you keep outside the Service within 5 business days
- You will include effective opt-out mechanisms and promptly honor all opt-out requests
- If your Plan includes marketing features (such as the Marketing Center), you may send promotional messages only to recipients who have given express marketing consent. The Quotera platform collects marketing consent only by text message: after a customer opts in to texts on your booking page, estimate signing page or contract signing page, the Service sends one confirmation text, and marketing consent is recorded only if the customer replies YES. You may not record marketing consent on a customer's behalf. The Service holds promotional texts outside 8 a.m. to 8 p.m. (based on your shop's time zone and the recipient's area code) and limits them to three per customer in any 24 hours, holding the rest until they can be sent. You remain responsible for the content of the promotional messages you send.
- If your Plan does not include two-way texting and a customer texts your Shop's registered number, the Service answers with an automatic reply saying the Shop does not take text replies, at most once a day per number. The reply is not sent to a number that has opted out or is on hold, when the text goes to review, [when the text is about an appointment and you get an alert to call the customer instead], or while your Shop is not on a paid Subscription.
- Marketing email. Marketing email you send through the Service is sent in your Shop's name, and you are its sender under the CAN-SPAM Act. You will keep a valid postal address for your Shop in Settings, send marketing email only to people you are allowed to email, and not email anyone who has unsubscribed. The Service adds an unsubscribe link to marketing email sent through the Marketing Center.
- You will comply with all permitted calling and messaging times
- You will maintain records of consent as required by law
Your texting number: The phone number the Service sets up for your Shop is provided to Quotera by our texting provider. It is not your property, and you cannot transfer or port it out unless we agree in writing. We may stop texting from a number, release it, or replace it if your Shop's texting registration is cancelled or rejected, if the Shop is on the Free plan, paused or closed, if a carrier or our provider requires it, or under Section 11.3. A released number can be given to someone else. We are not liable for messages sent to or from a number after it is released.
You agree to indemnify and hold Quotera harmless from any claims, fines, penalties, or damages arising from your failure to comply with SMS and communications laws. See Section 15 (Indemnification) for details.
7. Intellectual Property
7.1 Quotera's Rights
The Service, including all software, code, databases, functionality, designs, text, graphics, logos, and trademarks ("Materials"), is owned by Quotera LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by Quotera.
7.2 Your Content License
You retain ownership of the data and content you input into the Service ("Your Content"). By using the Service, you grant Quotera a non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, modify, and display Your Content solely as necessary to provide the Service to you. This license ends when Your Content is deleted from the Service, except for copies in backups: [BACKUP RETENTION].
7.3 Aggregated and Anonymous Data
You acknowledge and agree that Quotera may generate, use, and share anonymous, de-identified, aggregated, or statistical data derived from your use of the Service for development purposes, to improve the Service, and for other analytics and business purposes, provided that no individual or business is identified. Such anonymous and aggregated data shall be the exclusive property of Quotera. Quotera keeps such data in de-identified form and will not attempt to re-identify any person or business from it.
7.4 Feedback and Suggestions
If you provide feedback, suggestions, ideas, or recommendations about the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate that Feedback into the Service or any other products and services without compensation, attribution, or obligation of confidentiality.
7.5 Unsolicited Ideas
Quotera does not accept unsolicited ideas, including ideas for new products, features, technologies, or processes. If you submit unsolicited ideas despite this policy, you agree that: (a) such ideas become our property without compensation; (b) we may use or disclose them for any purpose; (c) we have no obligation to review them; and (d) we have no obligation to keep them confidential.
7.6 User Content Warranty
You represent and warrant that: (a) you own or have all necessary rights, licenses, and consents to upload Your Content to the Service; (b) Your Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) you have obtained all necessary consents from individuals whose personal information is included in Your Content.
8. Confidentiality
"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. Your Confidential Information includes Your Content and customer data. Quotera's Confidential Information includes the Service, Materials, and pricing information.
Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care used to protect its own confidential information; (b) not disclose Confidential Information to third parties except as necessary to provide the Service or as permitted under these Terms; and (c) not use Confidential Information except as necessary to perform obligations under these Terms.
Customer Contact: Except as required by law, to provide the Service, or as you direct through an integration you turn on (Section 23(h)), Quotera will not directly contact Your Customers or share their personally identifying information with third parties without your consent.
9. License Grant
Subject to your compliance with these Terms and payment of applicable Charges, Quotera grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations while you use the Service under these Terms, on any Plan, including the Free plan. This license does not include any right to: (a) sell, resell, or redistribute the Service; (b) modify, copy, or create derivative works; (c) reverse engineer or attempt to derive source code; or (d) access the Service for competitive purposes.
10. Service Availability and Modifications
10.1 Availability
We strive to provide reliable service but do not guarantee that the Service will be available, uninterrupted, secure, or error-free at all times. We do not guarantee any specific uptime or availability.
10.2 Modifications
We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice, for any reason.
10.3 Third-Party Services
The Service integrates with third-party services including Telnyx (SMS delivery), Amazon Web Services (email and storage), Stripe (payment processing), Nexpart (parts catalog and ordering; see Section 10.4), and CARFAX (vehicle data and service records; see Section 10.5). We are not responsible for the availability, performance, security, or actions of these third-party services.
10.4 Nexpart Parts Ordering
(a) What Nexpart Is. The Service can connect to Nexpart, a third-party electronic parts catalog and ordering service (the "Nexpart Service"). Quotera's connection to the Nexpart Service is provided under a license from the owner of the Nexpart Service. The Nexpart Service lets you search parts catalogs, see prices and availability from the parts sellers you choose (each, a "Supplier"), and place parts orders with them. Quotera does not own or operate the Nexpart Service and is not a Supplier.
(b) Who May Use It. The Nexpart Service is available only to businesses set up in the Service as automotive shops, for use in the normal course of their automotive business in the United States, on Plans that include it, and only during an active free trial or while that Subscription is paid. You need your own Nexpart account; Quotera does not provide one.
(c) Your Right to Use It. Subject to these Terms, Quotera grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use Quotera's connection to the Nexpart Service, solely for your own business operations while you are eligible under Section 10.4(b). Your use of the Nexpart Service itself is subject to any terms that apply to your Nexpart account and to your Suppliers, and you agree to follow them.
(d) Catalog Content Belongs to Its Owners. The catalogs, part data, images, prices, availability, software, and other materials shown in the Nexpart Service (the "Nexpart Content") are proprietary and copyright materials of the owner of the Nexpart Service, its licensors, and the Suppliers. The Nexpart Content is not Your Content and is not Quotera's Materials. You may view and use the Nexpart Content only to find and order parts for your business. Except as described in Section 10.4(e), you may not copy, download in bulk, scrape, export, store, republish, sell, or share the Nexpart Content, or use it to build any database, catalog, price list, or product.
(e) Your Parts and Order Records. When you bring parts from the Nexpart Service onto a work order, or order parts through it, the Service records details of those parts and orders, such as the part number, description, brand, quantity, your cost, and the order number, on your work orders, purchase orders, and inventory. Those records are Your Content, and you may use them for your own business records and your own customer documents.
(f) Restrictions. In addition to Section 5, you will not: (i) modify, reverse engineer, decompile, disassemble, or attempt to derive the source code, data formats, or interfaces of the Nexpart Service or of Quotera's connection to it; (ii) use bots, scripts, or other automated means to access the Nexpart Service through the Service; (iii) remove, hide, or alter any proprietary rights notice shown with the Nexpart Service; (iv) let anyone outside your business use the Nexpart Service through your Account; or (v) use the Nexpart Service through the Service for any business other than an automotive business.
(g) Orders Are Between You and Your Supplier. Each order you place through the Nexpart Service is a purchase from your Supplier under your Supplier's terms. Quotera is not the seller, is not a party to the order, and does not set or guarantee prices, availability, fitment, delivery, returns, core charges, or warranties. You are responsible for every order placed through your Nexpart account, including orders placed by team members you allow to order. The order status and order number shown in the Service are what the Nexpart Service reports to Quotera; your Supplier's confirmation controls. Any dispute about an order is between you and your Supplier under Section 14.
(h) Your Nexpart Login. To connect the Service to the Nexpart Service, you give Quotera the username and password for your Nexpart account. You authorize Quotera to store them in encrypted form and to use them, together with the information needed to open a catalog session, such as the vehicle identification number and the work order or purchase order number, to open Nexpart sessions on your behalf and to receive the parts and orders the Nexpart Service sends back. You confirm that you are permitted to use your Nexpart account in this way.
(i) Availability. The Nexpart Service is a third-party service under Section 10.3. Quotera does not control it and does not guarantee that the Nexpart Service, any catalog, or any Supplier will be available, accurate, complete, or error-free. The owner of the Nexpart Service or Quotera may change, suspend, or end the connection at any time, including if Quotera's license for its connection to the Nexpart Service ends, and we will try to give you notice when we can. If that happens, your records under Section 10.4(e) remain in your Shop. Because Quotera does not charge separately for the Nexpart Service, a change to it or its end does not entitle you to a refund or credit, except where the law requires one.
(j) Liability. Section 12 (Disclaimers) and Section 13 (Limitation of Liability) apply to the Nexpart Service and the Nexpart Content. To the fullest extent permitted by law, neither Quotera nor the owner of the Nexpart Service is liable to you for any loss arising from the Nexpart Service, the Nexpart Content, a Supplier, or an order, including a wrong, late, or missing part, an incorrect price or fitment, or a lost order. Your obligations under Section 15 include claims arising from your use of the Nexpart Service or from orders placed through your Nexpart account.
(k) Third-Party Beneficiary and Survival. This Section 10.4 is for the benefit of the owner of the Nexpart Service and its licensors as well as Quotera; they are intended third-party beneficiaries of all of this Section 10.4 and may enforce it directly against you. Sections 10.4(d), (e), (f), (g), (j), and (k) survive the end of your Subscription and of these Terms.
10.5 CARFAX
[(a) What It Is. The Service can connect an automotive Shop to services of CARFAX, Inc. ("CARFAX"): license plate lookup (a plate and state return the VIN, make, model and year), vehicle service history lookup, and the CARFAX Shop Loyalty Program. Quotera's connection is provided under an agreement between Quotera and CARFAX. Quotera does not own or operate CARFAX's services and makes no promise about them.
(b) Who May Use It. CARFAX features are available only to Shops set up in the Service as automotive shops, for their automotive business in the United States, on Plans that include them. CARFAX can be turned on during an active free trial and while the Subscription is paid. The Shop Loyalty Program is available only while the Subscription is paid. While a Shop is not paying (it is on the Free plan, paused, or on a Plan without CARFAX), its CARFAX connection is kept, but Quotera sends CARFAX no service records or customer lists for it and the Shop cannot use CARFAX lookups; sending and lookups resume automatically when the Shop is paid again, and the next nightly upload then includes the Section 10.5(d) records for work orders completed while the Shop was not paying; customer lists from that time are not sent. The opt-out notices in Section 10.5(g) are sent at all times.
(c) Turning CARFAX On. A Shop is connected to CARFAX only when it turns CARFAX on in Settings. Turning it on registers the Shop with CARFAX by sending CARFAX the Shop's name, street address, city, state, ZIP code, phone number, booking page address, a business contact name and email address, and a location ID. Quotera may send the registration again at any time to keep it active. Shops connected to CARFAX before [CARFAX RELEASE DATE] stay connected until an Owner turns CARFAX off; we emailed each such Shop's Primary Owner how to do so.
(d) Service Records You Direct Us to Send. While CARFAX is on, you direct Quotera to send CARFAX a record of each of the Shop's work orders that is marked Complete and has a vehicle with a valid 17-character VIN: on the first nightly upload, every such work order already completed, and after that, new ones every night. A work order edited after it was sent may be sent again. Each record contains the VIN, make, model, year, license plate and plate state; the mileage; the date the work order was opened and the date it was completed; the work order number; for each job on the bill, the job name, labor descriptions, and part names with quantities, as the Shop wrote them; and the Shop's location ID, name, street address, city, state, ZIP code, phone number and booking page address. Declined jobs are not sent. No customer names, addresses, email addresses or phone numbers are sent, and no prices or notes.
(e) Turning CARFAX Off. You may turn CARFAX off for a Shop at any time in Settings. While it is off, Quotera sends no new service records for the Shop and the Shop cannot use CARFAX lookups. When you turn it back on, you choose whether work orders completed while it was off are sent in the next upload. Turning CARFAX off does not end a Shop Loyalty Program agreement.
(f) Records Already Sent. Records sent to CARFAX stay with CARFAX under CARFAX's terms. CARFAX may show them in its vehicle history reports and in service history results it gives others. Quotera cannot retrieve, change or delete them. Deleting a customer, vehicle or work order in the Service does not remove anything already sent to CARFAX. Send any request about records already sent to CARFAX.
(g) Shop Loyalty Program. The Shop Loyalty Program is a separate agreement between you and CARFAX, under CARFAX's terms, which you accept when you enroll. CARFAX bills you for it; Quotera does not. You cancel it with CARFAX. It has its own switch in Settings, separate from service record sharing; turning either one off does not change the other. While you are enrolled, you direct Quotera to send CARFAX the customer list described in Section 4.5 of the Privacy Policy. Even after you turn CARFAX or the Shop Loyalty Program off, Quotera keeps sending CARFAX the opt-out notices described there. If you enroll again later, customers from the time you were not enrolled are not sent. Sending Your Customers' information to CARFAX for the Shop Loyalty Program may be a sale or sharing of personal information under state privacy laws. You are responsible for the consents, notices and opt-outs that agreement and the law require.
(h) CARFAX Content. Lookup and service history results ("CARFAX Content") belong to CARFAX and its licensors and are provided as is. Use them only to identify and service vehicles in your business, and confirm that a returned VIN matches the vehicle. You may not copy CARFAX Content in bulk, resell or republish it, use it to build a database, or put it into any artificial intelligence or machine learning tool.
(i) No Separate Charge; Availability. Quotera charges nothing separately for CARFAX features. CARFAX or Quotera may change, suspend or end any CARFAX feature at any time, including if Quotera's agreement with CARFAX ends. Because there is no separate charge, this gives you no right to a refund or credit, except where the law requires one.
(j) Liability. Sections 12 and 13 apply to CARFAX features and CARFAX Content. To the fullest extent permitted by law, neither Quotera nor CARFAX is liable to you for any loss arising from CARFAX features, CARFAX Content, records sent under this Section, or CARFAX's use of them. Your obligations under Section 15 include claims arising from your use of CARFAX features or the Shop Loyalty Program. Section 10.5(d) applies to records sent on or after [EFFECTIVE DATE].
(k) Survival. Sections 10.5(f), (g), (h), (j) and (k) survive the end of your Subscription and of these Terms.]
11. Term and Termination
11.1 Term
These Terms begin when you first access or use the Service and continue until terminated as described herein.
11.2 Termination by You
You may cancel a Subscription at any time from Settings, then Billing, or by contacting support@quotera.app. Cancellation takes effect at the end of the current billing period (Section 4.2). You may also stop using the Service at any time, or delete a Shop or your Account as described in Section 11.5 and our Privacy Policy.
11.3 Termination by Quotera
We may terminate your access to the Service if (a) you breach these Terms and do not cure the breach within 30 days after our written notice under Section 11.4. We may suspend or terminate your access to the Service immediately, without notice, if: (b) your use poses a security risk; (c) you introduce malware or cause network interference; (d) we determine your use is abusive; (e) we believe you are using the Service illegally; or (f) we believe your actions may cause legal harm to Quotera. We may also suspend your access to all or part of the Service at any time, including during a cure period under Section 11.4, if we reasonably believe it is needed to investigate a possible breach or to protect the Service, other users, Your Customers or Quotera. A suspension is not a termination, and these Terms stay in effect while your access is suspended. Subscription Prices continue to be charged during a suspension.
11.4 Termination for Breach: Cure Period
For any breach not listed in Section 11.3(b) through (f), the terminating party shall give written notice specifying the breach. Termination takes effect 30 days after receipt of notice unless the breach is fully cured within that period. A suspension under Section 11.3 does not shorten or extend the cure period.
11.5 Effect of Termination
Upon termination:
(a) your license rights terminate immediately;
(b) you remain responsible for all Charges due;
(c) if you cancel a Subscription, [at the end of the billing period the Shop moves to the Free plan if it is your Free Shop, or is paused under Section 4.11(b), and] its data stays until the Shop is deleted;
(d) if a Shop or an Account is deleted, it is closed right away and, unless termination was for breach, support can restore it on request during its Retrieval Period: [90 days for a Shop], and 30 days for an Account, except that an Account that owns, or still belongs to the team of, a closed Shop that is not yet deleted is kept, unusable, until that Shop's Retrieval Period ends (each, a "Retrieval Period"); during a Shop's Retrieval Period the Shop cannot be used, but its Owners who can still sign in can download its records as described in (f);
(e) if we terminate under Section 11.3, we close your Shop, and your Account if you own no other open Shop and are not a member of one, when the termination takes effect; you cannot download the Shop's records yourself; unless termination was for illegal use or a security risk, you may ask support@quotera.app for a copy during the Retrieval Period, and we decide at our discretion whether to provide one;
(f) [Owners can download a copy of a Shop's records, including its invoices, payments, sales tax totals, customers, vehicles and equipment, signed approvals, contracts and recurring plans, time records, tire records, inspections, texting consent records, records sent to CARFAX and its expenses and purchase orders, at any time on any Plan, including the Free plan, and its photos as a separate download, while signed in]; if you delete your Account, you can no longer download the records of Shops it closes or of your other closed Shops; you are responsible for keeping your own business records for as long as the law requires; except as described in our Privacy Policy, Quotera does not keep a copy of a deleted Shop's records after its Retrieval Period;
(g) after the Retrieval Period, the deleted Shop's or Account's data is permanently deleted, except as described in our Privacy Policy; [we may delay permanent deletion, and keep the data only as long as needed, if a law, court order, subpoena, government preservation request, or an audit, investigation or lawsuit we know of requires it]; and
(h) Sections 4.5, 4.10(e), 7, 8, 10.4 (as stated in 10.4(k)), 10.5 (as stated in 10.5(k)), 11.5, 11.6, 12 through 17, and 19 through 24, and any other provisions that by their nature should survive, will survive termination.
11.6 After a Shop Closes
[(a) Download window. When a Shop is closed, other than by a termination under Section 11.3, each of its Owners who can still sign in can see it under My Shops for 90 days and download its records and photos there. Nobody can work in it during that time. [No texts are sent from a closed Shop during those 90 days, apart from automatic replies to HELP and STOP texts. Its texting number is kept until its deletion date, unless the "Your texting number" terms in Section 6 let us release it sooner. If support restores the Shop, texting resumes only once the Shop's Plan is paid, and the Shop may not get the same number back.] On day 90 the Shop and its data are permanently deleted under Section 11.5(g).
(b) Reminder emails. We email the Shop's Primary Owner when the Shop closes and 30 days, 7 days and 1 day before it is deleted, while the Primary Owner can still sign in; if the Primary Owner's Account is closed, we email the Shop's other Owners who can still sign in instead. The emails contain no download link; you download only while signed in.
(c) If deletion is delayed. If we delay deletion under Section 11.5(g), Owners who can still sign in can keep downloading the Shop's records, and when the delay ends the Shop is deleted no sooner than 30 days later, with the reminder emails sent again.
(d) Deletion record. We keep a permanent record that the Shop was closed and deleted, as described in our Privacy Policy.
(e) Shops closed earlier. A Shop closed before [EFFECTIVE DATE] keeps the deletion date we gave it when it closed and has no download after closing.
(f) Older app versions. Older versions of the Quotera app may show a 30-day period and have no download. The periods in these Terms apply, and Owners can download records as Section 11.5(f) describes.]
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE FULLEST EXTENT PERMITTED BY LAW, QUOTERA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, ACCURACY, AND SYSTEM INTEGRATION.
WE DO NOT WARRANT THAT: (a) THE SERVICE WILL MEET YOUR REQUIREMENTS; (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) RESULTS FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (d) ANY ERRORS WILL BE CORRECTED; (e) THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS; OR (f) ANY TEXT MESSAGE, EMAIL OR NOTIFICATION WILL BE DELIVERED, OR DELIVERED ON TIME.
Reports and downloads in the Service, including sales tax summaries, are prepared from the information you enter and the settings you choose. You are responsible for checking them before you file a tax return or rely on them. Orders you archive or delete are left out of reports and sales tax totals, including the totals in the records download; you are responsible for reporting every sale you made.
Documents and templates: The Service includes default wording, templates and settings for documents you send Your Customers, including estimate, invoice, contract, recurring-charge, auto-renewal, signature, approval, texting-consent and fee wording. They are provided for convenience only and are not legal advice. You decide what your documents say and whether to use them. You are responsible for making sure your documents, your contracts with Your Customers, and how you renew, charge and cancel them follow the laws where you do business, including automatic renewal laws, state auto repair and home improvement laws, and any consent or disclosure the law requires before you rely on an electronic signature or electronic record.
Time tracking: Time tracking in the Service is a convenience. You are responsible for keeping the time and work records the law requires of you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, QUOTERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL QUOTERA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO QUOTERA IN THE 12 MONTHS PRECEDING THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100). THE EXISTENCE OF MULTIPLE CLAIMS SHALL NOT ENLARGE THIS LIMIT.
THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."
14. Third-Party Disputes
Any disputes between you and Your Customers, employees, vendors, or other third parties are solely between you and those parties. Quotera is not responsible for and shall not be liable for any such disputes. You agree not to seek any legal remedy from Quotera for the actions or omissions of third parties.
15. Indemnification
You agree to defend, indemnify, and hold harmless Quotera LLC, its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) Your Content or any data you upload; (c) your violation of these Terms; (d) your violation of any third-party rights; (e) your violation of any applicable law; (f) any dispute between you and Your Customers or other third parties; (g) any claims arising from SMS or communications you send through the Service; and (h) your negligence, fraud, dishonesty, or willful misconduct.
These indemnification obligations survive termination of these Terms. We may elect to settle claims at our discretion, and you remain liable as though we had proceeded to trial. We will tell you about a claim we ask you to defend, and you may not settle a claim that admits fault for Quotera or binds Quotera without our written consent.
16. Dispute Resolution
16.1 Informal Resolution
Before either party starts an arbitration or a court action, other than under Section 16.3(b), it must send the other a written description of the dispute and what it wants, and both must try in good faith to resolve it for 30 days after the notice is received. Notices to Quotera go to legal@quotera.app. Notices to you go to the Primary Owner's email address. The period in Section 16.5 is paused for those 30 days.
16.2 Binding Arbitration
YOU AND QUOTERA AGREE TO RESOLVE DISPUTES BY BINDING ARBITRATION INSTEAD OF IN COURT. BY AGREEING TO THIS SECTION, YOU AND QUOTERA EACH GIVE UP THE RIGHT TO SUE THE OTHER IN COURT AND THE RIGHT TO HAVE A JUDGE OR JURY DECIDE A DISPUTE, EXCEPT AS SECTION 16.3 ALLOWS. Instead, a neutral arbitrator decides the dispute, and a court can review the arbitrator's decision only in very limited ways. Except as Section 16.3 allows, any dispute, claim or controversy between you and Quotera arising out of or relating to these Terms, the Service or our relationship, whether based on contract, tort, statute (including consumer protection, privacy, and communications laws), or any other legal theory, and including disputes that arose before you accepted these Terms, will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. A single arbitrator decides the dispute. Any in-person hearing takes place in Passaic County, New Jersey. A party may ask that a hearing take place by video or telephone. A claim for $25,000 or less is decided on written submissions alone, unless the arbitrator decides that a hearing is needed. AAA's fees and the arbitrator's compensation are paid as the AAA's rules provide, and the arbitrator may reallocate them in the award. The arbitrator's award is final and binding, and judgment on it may be entered under Section 16.7. The Federal Arbitration Act governs this Section 16. The arbitrator decides every question about whether a dispute must be arbitrated and whether Section 16.5 bars a claim, except questions about Section 16.4, which only a court decides. The arbitration and the award are confidential, except as needed to enforce the award or as the law requires.
16.3 Exceptions
Either party may: (a) bring an individual claim in the Small Claims Section of the Special Civil Part of the Superior Court of New Jersey, in any county where venue is proper, while the claim stays there; (b) ask a court under Section 16.7 for an injunction or other emergency relief to stop unauthorized use of the Service or infringement or misuse of intellectual property or confidential information; or (c) report a matter to a government agency.
16.4 Class Action Waiver
YOU AND QUOTERA EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION, IN ARBITRATION OR IN COURT. The arbitrator may not consolidate the claims of more than one Shop or business, may not preside over any class, collective or representative proceeding, and may award relief only to the individual party seeking it and only as needed for that party's individual claim. If a court decides that this Section 16.4 cannot be enforced for a claim, that claim alone proceeds in a court under Section 16.7, and never in arbitration, and is paused until every claim that can be arbitrated has been decided. The rest of Section 16 stays in effect. This paragraph controls over Section 22.2.
16.5 Time Limit for Claims
Any claim by you or by Quotera arising out of or relating to these Terms or the Service must be started, in arbitration or in a court allowed by Section 16.3, within one (1) year after the claim arose, or it is permanently barred. If a law does not allow this period to be shortened for a claim, the shortest period that law allows applies instead.
16.6 Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles, and by the Federal Arbitration Act for Section 16.
16.7 Courts
Except for claims under Section 16.3(a), any claim that is not arbitrated must be brought only in the Superior Court of New Jersey in Passaic County, or in the United States District Court for the District of New Jersey if it has jurisdiction. You and Quotera consent to those courts' personal jurisdiction and venue. A party may ask any of those courts, or any other court with jurisdiction over the party against whom it is enforced, to confirm or enforce an arbitration award.
16.8 Jury Trial Waiver
TO THE FULLEST EXTENT THE LAW ALLOWS, YOU AND QUOTERA EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY CLAIM, COUNTERCLAIM OR ACTION BETWEEN YOU AND QUOTERA ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR OUR RELATIONSHIP, WHETHER BASED ON CONTRACT, TORT, STATUTE OR ANY OTHER LEGAL THEORY.
17. Force Majeure
Quotera shall not be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, strikes, labor disputes, government actions, power failures, internet or telecommunications failures, DDoS attacks, third-party service provider failures, or any other cause beyond our reasonable control.
18. Electronic Communications
By using the Service, you consent to receive communications from us electronically, including emails, push notifications, and notices posted on the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
19. Copyright and DMCA
If you believe content on the Service infringes your copyright, please send a notice to legal@quotera.app containing: (a) your name and contact information; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) a statement that you have a good faith belief the use is unauthorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (f) your signature. Notices may also be mailed to Quotera LLC, PO Box 1303, Wayne, NJ 07470-1303. If your content was removed and you believe that was a mistake, you may send us a counter-notice at the same address. We may end the Accounts of repeat infringers.
20. Export Compliance
The Service is intended for use within the United States. You may not export or use the Service in violation of U.S. export laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not on any U.S. government restricted parties list.
21. California Consumer Notice
If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210, to resolve a complaint regarding the Service.
22. General Provisions
22.1 Entire Agreement
These Terms, including the Data Processing Terms in Section 23 and Annex 1, together with our Privacy Policy, SMS Communications terms, Referral Program terms, and any written agreement signed by you and Quotera that states it changes these Terms, constitute the entire agreement between you and Quotera regarding the Service. If such a signed agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict. If these Terms conflict with the SMS Communications terms or the Referral Program terms, these Terms control.
22.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the greatest extent the law allows. Section 16.4 controls over this Section 22.2 for the matters it covers.
22.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
22.4 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent, except that you may assign these Terms without our consent to a successor entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of your assets, provided that (a) you provide us with written notice of such assignment within 30 days, and (b) the successor entity agrees in writing to be bound by these Terms. We may assign these Terms without restriction.
22.5 Subcontractors
Quotera may utilize subcontractors or third parties to perform its obligations under these Terms, provided that Quotera remains responsible for all of its obligations.
22.6 No Employee Binding Authority
No employee, agent, or representative of Quotera has authority to bind Quotera to any statement, representation, warranty, or other expression unless specifically set forth in these Terms.
22.7 Changes to Terms
We may modify these Terms at any time. A modified version takes effect when we publish it, or on a later date that we state when we publish it, and the "Last Updated" date shows when it took effect unless we state a later date. We will notify you of each material change by email to the Primary Owner of each Shop, and we may also notify you in the Service. An Owner may be required to accept the updated Terms in the Service to continue using it. An Owner's acceptance is made for the business and its Users as described in Section 3.7. A change to Section 16 does not apply to a dispute that arose before the change took effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. We keep earlier versions of these Terms and give a copy on request.
22.8 Notices
Formal notices to Quotera must be sent in writing to:
Notices to Quotera are deemed given upon receipt. We send notices to you by email to the Primary Owner of the Shop concerned, or in the Service. An email notice is given when we send it. You are responsible for keeping that email address current.
22.9 No Third-Party Rights
These Terms are only between you and Quotera. Except as Section 10.4(k) and Section 24(k) state, nobody else, including Your Customers and your Users, has any right to enforce them.
23. Data Processing Terms
(a) Roles. For personal information about Your Customers, your team and other people that you put into the Service ("Shop Data"), you are the business (controller) and Quotera is your service provider (processor).
(b) Instructions and purpose. We process Shop Data only to provide, secure and support the Service and to follow your instructions given through the Service, including the integrations you turn on. We do not sell or share Shop Data, and we do not keep, use or disclose it for any purpose other than those in this Section, or outside the direct business relationship between you and us. We do not combine it with personal information from other sources, except as the California Consumer Privacy Act and other privacy laws allow service providers to.
(c) Confidentiality and security. Everyone who processes Shop Data for us must keep it confidential. We maintain reasonable security measures as described in our Privacy Policy, section 5.
(d) Requests and help. We help you respond to requests from people about their information, and with assessments the law requires of you. If someone contacts us directly about Shop Data, we pass the request to you.
(e) Subprocessors. You authorize the service providers listed in Annex 1. Each is bound by data-protection terms, in a written agreement or in the provider's published terms we accept by using its service. We email your Primary Owner at least 14 days before a new service provider starts handling Shop Data. If we must replace a provider urgently for security or reliability, we tell you as soon as we can. If you object, email legal@quotera.app.
(f) Notice and oversight. We tell you if we can no longer meet these terms. On reasonable request, once a year, we give you the information you need to confirm we meet them. If you reasonably believe Shop Data is being used without authorization, you may require us to stop and fix it.
(g) Deletion. When your Shop is deleted, we delete Shop Data as described in Section 11.5 and our Privacy Policy, section 6. Before it is deleted, Owners can download it as described in Section 11.5(f).
(h) Your integrations and registrations. When you turn on an integration such as CARFAX or Nexpart, or register your Shop for texting, you direct us to send that provider or The Campaign Registry the data described in our Privacy Policy. You are responsible for any notice or choice the law requires you to give Your Customers for that sharing.
(i) Breach notice. We notify the Primary Owner promptly after we discover a security breach affecting Shop Data, and within any shorter time the law requires. You decide whether to notify Your Customers and regulators, and you give the notices the law requires of you as the business that controls Shop Data. We give you the information we have that you need for those notices.
(j) Law, data types and duration. We comply with the obligations that the California Consumer Privacy Act and other US state privacy laws place on service providers and processors, and we give Shop Data the level of privacy protection those laws require. Shop Data includes the information described in our Privacy Policy, section 2, about Your Customers, your team and others. We process it while your Shop exists and afterwards as described in Section 11.5 and our Privacy Policy, section 6. Our staff may access Shop Data to provide support, investigate problems, keep the Service secure, enforce these Terms and meet the law.
(k) Your part. You give every notice and get every consent the law requires for us to process Shop Data as these Terms describe, and your instructions to us follow the law. Instead of an audit, you may rely on the information we give under Section 23(f); if the law requires an assessment by you or an independent assessor, we cooperate with it at your cost, once a year, on 30 days' notice.

24. Apple App Store
This Section applies if you got the Quotera mobile app (the "App") from Apple's App Store. If this Section conflicts with anything else in these Terms about the App, this Section controls.
(a) Agreement with Quotera only. You and Quotera agree that these Terms are between you and Quotera LLC only, and not with Apple Inc. ("Apple"). Quotera, not Apple, is solely responsible for the App and its content.
(b) License. Your license to the App is a non-transferable license to use it on Apple-branded products that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may also be accessed and used by other accounts associated with the purchaser through Family Sharing, volume purchasing or Legacy Contacts. The license is also subject to Section 9, and using the Service through the App requires an Account and follows the rest of these Terms.
(c) Purchases. The App is free to download. Plans and Subscriptions are bought from Quotera on our website under Section 4, not through Apple, and Apple does not bill, refund or support them.
(d) Maintenance and support. Quotera, not Apple, is solely responsible for any maintenance and support of the App, to the extent these Terms state or the law requires. You and Quotera agree that Apple has no obligation at all to provide maintenance or support for the App.
(e) Warranty. Quotera, not Apple, is solely responsible for any warranty for the App, express or implied by law, to the extent not effectively disclaimed in Section 12. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you, if any. To the fullest extent the law allows, Apple has no other warranty obligation for the App, and any other claims, losses, liabilities, damages, costs or expenses from any failure to conform to a warranty are Quotera's sole responsibility, not Apple's, subject to Sections 12 and 13.
(f) Product claims. You and Quotera agree that, as between Quotera and Apple, Quotera, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims under consumer protection, privacy or similar laws. Between you and Quotera, Sections 12 and 13 apply to those claims, but they do not limit Quotera's liability to you more than the law allows. This does not change your obligations under Section 15.
(g) Intellectual property claims. You and Quotera agree that, as between Quotera and Apple, if a third party claims that the App or your possession and use of it infringes that third party's intellectual property rights, Quotera, not Apple, is solely responsible for investigating, defending, settling and discharging that claim. This does not change your obligations under Sections 7.6 and 15.
(h) Legal compliance. You represent and warrant that (i) you are not located in a region that is subject to a US Government embargo, or that the US Government has designated as a "terrorist supporting" region; and (ii) you are not listed on any US Government list of prohibited or restricted parties.
(i) Contact. Questions, complaints and claims about the App go to Quotera LLC, PO Box 1303, Wayne, NJ 07470-1303; email support@quotera.app; phone +1 (973) 352-0952. Formal legal notices go to the address in Section 22.8.
(j) Third-party terms. You must comply with any third-party terms that apply when you use the App, for example your wireless data service agreement.
(k) Apple as third-party beneficiary. You and Quotera agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
(l) Apple's standard license. If you got the App under Apple's standard Licensed Application End User License Agreement, that agreement also covers the App software itself, and these Terms govern your Account and the Service, including everything you do in the Service through the App. To the extent the law allows, if that agreement and these Terms conflict, these Terms control between you and Quotera.
SMS Communications
1. SMS Notification Service
Quotera provides SMS notification services to enable businesses to communicate with their customers about appointments, service updates, and work order status. For comprehensive information about our SMS program, please visit our SMS Compliance page.
2. Types of Messages
You may receive the following types of SMS messages:
- Appointment Confirmations: Confirmation of scheduled service appointments
- Appointment Reminders: Reminders about upcoming appointments
- Service Status Updates: Updates about the progress of your service
- Completion Notifications: Alerts when your service is complete
- Estimate/Invoice Links: Links to view estimates and invoices online
- Unpaid-Invoice Follow-Up Campaigns: follow-ups about overdue or outstanding invoices sent through the business's marketing campaigns (requires marketing consent)
- Service Reminders: Reminders for upcoming or overdue maintenance (requires marketing consent)
- Post-Service Follow-Ups: Thank-you messages and feedback / review requests after a completed service (requires marketing consent)
- Declined-Service Reminders: Follow-ups about previously declined work (requires marketing consent)
- Re-Engagement Campaigns: Periodic check-ins for inactive customers (requires marketing consent)
- Promotional Messages: Special offers or service recommendations from the business (requires marketing consent)
3. Consent
When you book an appointment online, or sign an estimate or contract, from a business that uses Quotera, you can choose to receive SMS messages from that business by checking an optional box, or by choosing "Yes, sign me up" when asked "Stay in the loop?". The box is never checked for you, and you can book or sign without checking it. If you sign without checking it, you may be asked once whether you want SMS updates. Giving your phone number alone does not sign you up.
On a booking page, the box reads:
"I agree to receive SMS messages from [Business Name] including appointment reminders, service updates, and promotional offers (offers only if I reply YES to the one text [Business Name] sends to ask). Message frequency may vary. Msg & data rates may apply. Reply STOP to unsubscribe, HELP for help. Consent is not a condition of purchase."
On an estimate or contract signing page, the box reads:
"I agree to receive SMS messages from [Business Name] including appointment reminders, service updates, and promotional offers (offers only if I reply YES to the one text [Business Name] sends to ask). Message frequency varies. Message & Data Rates May Apply. Reply STOP to unsubscribe, HELP for help. Consent is not a condition of purchase."
Checking the box or choosing Yes signs you up for service texts from that business, such as appointment reminders, service updates and invoices. If the business has its own registered texting number, it then sends you one text asking whether you would also like promotional texts: "[Business Name]: You're signed up for service texts. Want offers too? Reply YES to agree to recurring automated marketing texts from us at this number. Consent is not a condition of purchase. Msg frequency varies. Msg & data rates may apply. Reply HELP for help, STOP to opt out." You receive promotional texts only if you reply YES to that text. Your consent is recorded when you check the box and submit, when you choose Yes, and when you reply YES. A business cannot record consent on your behalf.
You can also agree to service texts by texting START or YES to the business's number. Just texting the business does not count. Agreement recorded before [release date] still counts. [When you agree on a web page, we also record the IP address and browser used.]
4. Message Frequency
Message frequency varies. If you have opted in to promotional texts, you may also receive periodic service reminders, follow-ups and offers from the business. You can opt out of all messages at any time by replying STOP.
5. How to Opt Out
Reply STOP to stop texts. We also accept STOP ALL, STOPALL, UNSUBSCRIBE, UNSUB, CANCEL, END, QUIT, REVOKE, OPT OUT and OPTOUT, and in Spanish ALTO, PARAR, DETENER, CANCELAR and BAJA. Reply START or UNSTOP to get texts again: service texts, and promotional texts too if you had replied YES to the business's asking text before you stopped. Reply HELP or INFO for help.
We also stop texting you when your reply clearly asks us to stop.
If your reply opts you out right away, we send one message to confirm it. After any opt-out, you will no longer receive SMS notifications from that business. You can opt back in by replying START or UNSTOP. Replying YES answers the business's sign-up text; it does not undo an opt-out. Promotional texts restart only if you had replied YES to the business's asking text before you stopped.
A reply like CANCEL that may be about an appointment is first checked by the business, and no texts are sent to that number while it is checked.
6. Help
For help with SMS notifications, reply HELP or INFO to any message, or contact the business directly.
7. Message and Data Rates
Standard message and data rates may apply according to your mobile carrier's plan. Quotera and the entity you are doing business with do not charge for SMS notifications, but your carrier may charge for incoming messages.
8. Supported Carriers
Our SMS service is compatible with all major U.S. mobile carriers. If you experience issues receiving messages, contact your carrier to ensure SMS is enabled on your plan.
9. Customer Replies
You can reply to texts with questions about your service. If the business takes text replies through Quotera, your replies go to the business. If it does not, you get an automatic reply saying so, at most once a day, and you should contact the business directly. If your text looks like it is about an appointment, the business may be alerted to contact you, and no automatic reply is sent. Standard message rates apply to your replies.
10. Privacy and Mobile Information
Your phone number and SMS communications are subject to our Privacy Policy (see above). We do not share your phone number with third parties except as necessary to provide the SMS notification service, and the one-time CARFAX opt-out notice described in section 11 of our Privacy Policy.
Important: We will not share, sell, rent, or disclose your mobile phone number or any mobile information to third parties for marketing or promotional purposes. Your mobile information is used only to deliver service notifications and, where you have provided separate marketing consent, marketing communications from the business you are doing business with.
11. SMS Service Provider
SMS messages are delivered via Telnyx, our third-party SMS service provider, solely for delivery purposes. To register a business for texting, its business details are sent to The Campaign Registry; customers' numbers are not. For questions about our SMS service, contact us at support@quotera.app.
Referral Program
In short: share your link. When a business you refer has paid for its second month of Quotera, or 30 days into an annual plan, you get a $20 credit and 2.5% off your Subscription for 12 months. Limits and exceptions are below.
1. About the program
Quotera LLC ("Quotera," "we," "us") runs the Quotera Referral Program. These referral terms are part of our Terms of Service, and Section 16 of those Terms (Dispute Resolution) applies to them. Where the two differ on a referral matter, these referral terms apply. "You" means the business whose Quotera shop shares a referral link. All amounts are in US dollars.
2. Who can refer
A shop can share a referral link from Settings then Referrals when it is on a paid Basic plan or higher, including a custom rate on one of those plans, and its subscription is active. Shops on the Free plan, Quotera One, or a free trial cannot refer. Neither can shops whose subscription is past due or not active. While a shop is in one of those states, its link is turned off.
3. Your link
Each shop has one referral link. The link, and any rewards it earns, belong to the shop, not to a person. They stay with the shop if its ownership changes. Regenerating the link turns the old one off.
Share your link honestly. If you post it publicly, for example on a website or social media, say plainly that you get a reward when someone signs up through it. Do not send it by unsolicited bulk email or text. Do not buy search ads on the Quotera name, and do not claim to speak for Quotera.
4. Who can be referred
A referral counts only when a business that is new to Quotera signs up through your link and creates its first Quotera shop. New to Quotera means the person creating the shop does not own, and has never owned, another Quotera shop, including as a co-owner. Working at another Quotera shop is fine. A referral does not count if the business:
- is owned or run by you, or by an owner of your shop;
- signs up with an email address on your shop's company email domain (common public domains such as gmail.com are fine);
- was already referred by anyone, unless that earlier referral expired under section 5.
If the business is set up by someone who owns, or used to own, another Quotera shop, we may hold the referral for review before any reward is paid. A signup that did not use your link is not a referral.
5. Referral window
A referred business has 60 days from the day it signs up to make its first Subscription payment. If it has not paid within those 60 days, the referral expires and earns no reward, even if the business subscribes later.
6. When you earn
You earn the reward once the referred business has paid its second monthly Subscription invoice, which is its first renewal. If it pays for an annual plan, you earn the reward 30 days after that annual charge instead. These rules also apply:
- A referred business on any paid plan counts, including Quotera One and a custom rate.
- Upgrades, plan changes and other one-time invoices do not count as the second payment.
- If the second monthly payment has not been made within 70 days of the first, the referral ends without a reward, unless that payment is still being collected. In every case it ends 120 days after the first payment.
- You earn the reward only if none of the referred business's payments has been refunded or disputed.
- Your shop must have an active paid subscription when the reward is due. If it does not, the reward waits up to 30 days and is cancelled if your subscription is still not active.
7. What you earn
For each referral that earns a reward, you receive:
- a $20 referral credit, and
- a 2.5% discount on each Subscription invoice we issue you in the 12 months after the reward is earned.
Discounts from several referrals add up, to a maximum of 25% at any time. For example, 4 rewards earned in the last 12 months give you 10% off.
8. Credit cap
Each shop can earn up to $200 in referral credit in any 12-month period, counted back from the day a new reward is earned. A reward earned after the shop reaches that limit still adds its 2.5% discount, but adds only the credit that fits under the $200 limit.
9. How rewards are applied
We take your credit balance and your discount off your next Subscription invoice, as separate "Referral credit" and "Referral discount" lines. On an annual plan, that is your next renewal invoice. If your credit is larger than that invoice, the rest stays on your shop for your following subscription invoices. If your plan has no subscription invoice to take credit off, for example a plan billed at $0, contact support@quotera.app.
10. Custom rates and the multi-shop discount
If your shop is on a custom rate, you receive referral credits but not the percentage discount. If your shop receives the multi-shop discount, you get whichever discount is larger, not both. Today that is always the multi-shop discount. Referral credits apply either way. An earned discount's 12 months keep running while it is not applied.
11. What the referred business gets
While the WELCOME20 launch offer runs (through December 31, 2026, Eastern Time, unless we extend it), a referred business can use the WELCOME20 code at checkout like any new customer. No separate referral discount applies during that time.
After the launch offer ends, a referred business gets 10% off its first paid Subscription invoice, applied at checkout. It must make that payment within the 60-day window in section 5. On an annual plan, that is 10% off the first annual charge. This offer cannot be combined with other promotion codes and does not apply to custom-rate plans.
If you sign up through a referral link, the referring shop's team can see your business name, when you signed up, whether and when you made your first Quotera payment, when its referral reward is due, which can show whether you pay monthly or yearly, whether you missed the deadline for a first payment, and the status of its reward. We share nothing else about your account with the referring shop.
12. Refunds and disputes
If any payment by the referred business is refunded or disputed before your reward is paid, the reward is cancelled. Once a reward has been paid, we do not take it back automatically if a payment is later refunded or disputed. We may still review it under section 13. If a dispute is resolved in our favor, we may restore a cancelled reward.
13. Review and abuse
We may hold a reward while we review a referral, for example when the referred business pays with a card also used by your business. A hold is not a denial, and we aim to finish each review within 30 days. After a review we may approve or decline the reward. We may void a reward, whether or not it has been paid, remove any unused credit and the discount that came with it, and turn off a shop's referral link, when we reasonably believe it came from self-referral, duplicate or fake accounts, or other misuse of the program.
14. No cash value
Referral credits and discounts are promotional price reductions on your Subscription. They have no cash value, cannot be transferred, sold, or exchanged, and are never paid out. If your subscription ends, unused credit stays on your shop and applies again if the shop subscribes again. It is lost when the shop is permanently deleted (Terms of Service Section 11.5). You are responsible for any taxes that apply to rewards you receive.
15. Changes to the program
We may change or end the Referral Program at any time by posting the change on this page with a new Last Updated date, which is the effective date under Section 22.7 of the Terms of Service. Rewards you have already earned stay yours after a change or after the program ends. Earned credit stays available for your Subscription invoices while your shop keeps a paid subscription. Each earned discount runs for the rest of its 12 months. A referral that has not yet earned a reward follows the terms in effect when it earns one.
